The Parliament of Australia enacts:

1 Short title
4
This Act may be cited as the Governance of Australian
5
Government Superannuation Schemes Legislation Amendment Act
6
2015.

2 Commencement
8
(1) Each provision of this Act specified in column 1 of the table
9
commences, or is taken to have commenced, in accordance with
10
column 2 of the table. Any other statement in column 2 has effect
11
according to its terms.

(a) each Act administered by CSC; and

Commonwealth Laws--Superannuation) Act 2008.

29B Receiving payments or other amounts on behalf of the
20
Commonwealth
21
CSC may, on behalf of the Commonwealth, receive:
22
(a) payments of amounts that are payable to the Commonwealth
23
under each Act administered by CSC; and
24
(b) other amounts related to each Act administered by CSC.

29C Recovering debts owing to the Commonwealth

Rules made for the purposes of the Public Governance,
2
Performance and Accountability Act 2013 in relation to recovery
3
of debts owing to the Commonwealth apply to CSC in the same
4
way as those rules apply to a non-corporate Commonwealth entity
5
(within the meaning of that Act).

29D Instruments in relation to payments, other amounts or debts
7
(1) The Minister may, by legislative instrument, provide in relation to
8
the performance of CSC's functions in relation to payments, other
9
amounts or debts referred to in any of sections 29A to 29C.
10
(2) Before making an instrument, the Minister must consult the Board
11
on the instrument.
12
(3) Subsection (1) does not apply to the extent that:
13
(a) an instrument relates to CSC's obligations as a trustee under
14
a law of the Commonwealth, except to the extent permitted
15
by such a law; or
16
(b) an instrument is inconsistent with the Board's performance of
17
functions or exercise of powers under the Public
18
Governance, Performance and Accountability Act 2013
19
(including under rules made for the purposes of that Act in
20
relation to recovery of debts owing to the Commonwealth).

Division 1A--CSC Special Account
22
29E CSC Special Account
23
(1) The CSC Special Account is established by this section.
24
(2) The Account is a special account for the purposes of the Public
25
Governance, Performance and Accountability Act 2013.
26
29F Credits to the Account
27
There must be credited to the Account amounts equal to all money
28
received from any person for the purposes of the Account.

Note:
An Appropriation Act provides for amounts to be credited to a special

account if any of the purposes of the special account is a purpose that
2
is covered by an item in the Appropriation Act.

29G Purposes of the Account
4
(1) This section sets out the purposes of the Account.
5
(2) Amounts standing to the credit of the Account may be debited for
6
the following purposes:
7
(a) to pay or discharge the costs, expenses or other obligations
8
incurred by CSC in the performance of its functions under
9
this Act or another law of the Commonwealth, to the extent
10
that the Commonwealth agrees, or is required under an Act
11
administered by CSC or instrument made under such an Act,
12
to meet those costs, expenses or obligations;
13
(b) to pay any remuneration and allowances payable to:
14
(i) a director in accordance with section 34; or
15
(ii) a member of a panel or committee (however described)
16
established, under an Act administered by CSC or an
17
instrument made under such an Act, to review a
18
decision of CSC;
19
(c) to meet the expenses of administering the Account;
20
(d) to repay, as required by law, amounts that have been credited
21
to the Account;
22
(e) to reduce the balance of the Account (and, therefore, the
23
available appropriation for the Account) without making a
24
real or notional payment.

See section 80 of the Public Governance, Performance and

Accountability Act 2013 (which deals with special accounts).

32 Exemption from taxation--CSC

CSC generally exempt from taxation

(1) CSC is not subject to taxation under a law of the Commonwealth,

(2) CSC is not subject to taxation under a law of a State or Territory,

except under a law prescribed by the regulations.

CSC subject to taxation--income tax

(3) CSC is subject to taxation under the Income Tax Assessment Act
6
1936 and the Income Tax Assessment Act 1997, except in relation
7
to:
8
(a) any payment to CSC in relation to which an amount is
9
debited from the Account; or
10
(b) any payment to CSC of money appropriated by the
11
Parliament for the purposes of CSC.

CSC subject to taxation--goods and services tax
13
(4) CSC is subject to taxation under the A New Tax System (Goods and
14
Services Tax) Act 1999.

CSC subject to taxation--fringe benefits tax
16
(5) CSC is subject to taxation under the Fringe Benefits Tax
17
Assessment Act 1986.

aware of that were made under subsection 124B(1) or

124C(1) during the reporting period (see subsection (2) of

(b) the total amount of payments referred to in paragraph (a);
9
(c) the number of payments made under subsection 124B(1) or
10
124C(1) that any employee of CSC became aware of during
11
the reporting period that were made during an earlier
12
reporting period;
13
(d) the total amount of payments referred to in paragraph (c);
14
(e) for each payment referred to in paragraph (c)--the reporting
15
period in which the payment was made.

(2) The reporting period is:
17
(a) a financial year; or
18
(b) if a shorter recurring period is prescribed under

paragraph (5)(a)--that period.

1 Definitions

In this Schedule:

property, whether actual, contingent or prospective; and
11
(b) any right, power, privilege or immunity, whether actual,

or authority who, under a law of the Commonwealth, a State or a

Territory, under a trust instrument or otherwise, has responsibility for

keeping a register in relation to assets of the kind concerned.

2 Vesting of assets

(1)
Subitem (2) applies to the assets of ComSuper (whether the assets are in

become assets of CSC without any conveyance, transfer or assignment.

CSC becomes the successor in law in relation to the assets.

3 Vesting of liabilities

Liabilities of ComSuper

(1)
Subitem (2) applies to the liabilities of ComSuper (whether the

liabilities arose in Australia or elsewhere) immediately before

commencement.

(2)
At commencement, the liabilities cease to be liabilities of ComSuper
14
and become liabilities of CSC without any conveyance, transfer or
15
assignment. CSC becomes the successor in law in relation to the
16
liabilities.

Exception
18
(3)
Subitem (2) does not apply to a liability if:
19
(a) the liability is GST that was payable on a taxable supply
20
(within the meaning of the A New Tax System (Goods and
21
Services Tax) Act 1999); and
22
(b) the consideration for the taxable supply was a payment in
23
relation to the cost of the administration of an Act
24
administered by CSC that was credited to the ComSuper
25
Special Account.

4 Certificates relating to vesting of land
27
(1)
This item applies if:
28
(a) any land vests in CSC under this Part; and

(ii) identifies the land, whether by reference to a map or

otherwise; and

(iii) states that the land has become vested in CSC under this
6
Part.

(2)
The land registration official may:
8
(a) register the matter in a way that is the same as, or similar to,
9
the way in which dealings in land of that kind are registered;
10
and
11
(b) deal with, and give effect to, the certificate.

5 Certificates relating to vesting of assets other than land
13
(1)
This item applies if:
14
(a) any asset other than land vests in CSC under this Part; and
15
(b) there is lodged with an assets official a certificate that:
16
(i) is signed by the Chair; and
17
(ii) identifies the asset; and
18
(iii) states that the asset has become vested in CSC under
19
this Part.
20
(2)
The assets official may:
21
(a) deal with, and give effect to, the certificate as if it were a
22
proper and appropriate instrument for transactions in relation
23
to assets of that kind; and
24
(b) make such entries in the register as are necessary having
25
regard to the effect of this Part.

6 Substitution of CSC as a party to pending proceedings
27
(1)
If any proceedings to which the CEO of ComSuper was a party were
28
pending in any court or tribunal immediately before commencement,
29
CSC is substituted for the CEO, from commencement, as a party to the
30
proceedings.
31
(2)
The Minister may, by writing, determine that subitem (1) applies as if
32
the reference in that subitem to CSC were a reference to another

specified person. A determination under this subitem has effect

(3)
A determination made under subitem (2) is not a legislative instrument.

7 Exemption from stamp duty and other Commonwealth,
4
State or Territory taxes
5
(1)
No stamp duty or other tax is payable under a law of the
6
Commonwealth, a State or a Territory in respect of an exempt matter, or
7
anything connected with an exempt matter.
8
(2)
For the purposes of this item, an exempt matter is:
9
(a) the vesting of an asset or liability under this Part; or
10
(b) the operation of this Schedule in any other respect.
11
(3)
The Minister may certify in writing:
12
(a) that a specified matter is an exempt matter; or
13
(b) that a specified thing was connected with a specified exempt
14
matter.
15
(4)
In all courts, and for all purposes (other than for the purposes of
16
criminal proceedings), a certificate under subitem (3) is prima facie
17
evidence of the matters stated in the certificate.
18
(5)
A certificate made under subitem (3) is not a legislative instrument.

ComSuper or the CEO of ComSuper, then, for the purposes of the

operation of any law of the Commonwealth after commencement, the
27
thing is taken to have been done by, or in relation to, CSC.

(2)
For the purposes of subitem (1), a thing done before commencement
29
under a provision that is amended by this Act has effect from that time

relation to, ComSuper or the CEO of ComSuper; or

(b) applies as if the reference in that subitem to CSC were a

The person is taken to have accrued an entitlement to benefits, in

connection with becoming an employee of CSC, that is equivalent to the

commencement.

(3)
The service of the person as an employee of CSC is taken, for all
28
purposes, to have been continuous with his or her service as a member
29
of the staff of ComSuper engaged under the Public Service Act 1999.

member of the staff of ComSuper is not entitled to receive any payment

or other benefit merely because he or she ceased to be such a member.

12 Safety, Rehabilitation and Compensation Act 1988
4
(1)
This item applies in relation to a person if:
5
(a) the person was a member of the staff of ComSuper before
6
commencement (whether or not the person was still a
7
member of the staff of ComSuper immediately before
8
commencement); and
9
(b) the person was an employee (within the meaning of the
10
Safety, Rehabilitation and Compensation Act 1988 (the SRC
11
Act)) of ComSuper; and
12
(c) the person suffered an injury (within the meaning of that Act)
13
before commencement.
14
(2)
The SRC Act applies, after commencement, as if the person had been an
15
employee of CSC during the period that the person was a member of the
16
staff of ComSuper.
17
(3)
This item does not limit Part 3 of this Schedule.
18
13 Long service leave for employees of CSC
19
(1)
This item applies for the purposes of the Long Service Leave
20
(Commonwealth Employees) Act 1976 (the LSL Act) in relation to a
21
person if, immediately before commencement, the person is an
22
employee of CSC.
23
Persons who have accrued long service leave entitlements
24
before commencement
25
(2)
Subitems (3) and (4) apply if the person had, before commencement,
26
accrued an entitlement to long service leave (however described).
27
(3)
At and after commencement, the person:
28
(a) is taken to have a long service leave credit of the amount of
29
the person's long service leave credit immediately before
30
commencement; and
31
(b) is not entitled to any long service leave credit except under
32
the LSL Act.

A person's long service leave credit under this subitem may be reduced if the person is

granted long service leave (see section 18 of the LSL Act).

(4)
At and after commencement, the LSL Act applies to the person as if:
3
(a) the person's service, before commencement, as an employee
4
of CSC were employment in Government Service (within the
5
meaning of the LSL Act); and
6
(b) the long service leave credit referred to in paragraph (3)(a)
7
were accrued under the LSL Act in relation to that service.
8
Note:
The effect of this subitem is that from the day the person last accrued a long service
9
leave credit, the person's long service leave is worked out in accordance with the LSL
10
Act instead of in accordance with the person's previous employment conditions.
11
Persons who have not accrued long service leave entitlements
12
before commencement
13
(5)
If the person had, before commencement, not accrued an entitlement to
14
long service leave (however described):
15
(a) the person's service, before commencement, as an employee
16
of CSC (beginning on the day the person most recently began
17
as an employee of CSC) is to be treated, at and after
18
commencement, as if it had been employment in Government
19
Service (within the meaning of the LSL Act); and
20
(b) despite any provision of the LSL Act, any period of
21
employment in a qualifying service (within the meaning of
22
that Act) before the person began as an employee of CSC is
23
taken not to be continuous with the person's service as an
24
employee of CSC.

Division 3
--Transfer of business

14 Transfer of business
27
(1)
The transfer of staff of ComSuper to CSC is a transfer of business for
28
the purposes of the Fair Work Act 2009.
29
(2)
Despite section 312 of the Fair Work Act 2009, the only transferable
30
instrument in relation to the transfer of business is the enterprise
31
agreement that:
32
(a) covers the CEO of ComSuper on behalf of the
33
Commonwealth and staff of ComSuper; and

(1)
If:

(a) immediately before commencement, a law required the CEO

of ComSuper to provide a report (whether financial

statements or otherwise) for a period; and

(b) the period ends after commencement;

CSC must provide the report, as required, for so much of the period as

occurs before commencement.

(2)
If:

(a) under subitem (1), CSC is required to provide a report for a

part of a period; and

(b) CSC is also required to provide a similar report for the

remainder of the period;

CSC may meet the requirements in a single report for the period.

16 Amending instruments may be retrospective

(1)
If:

(a) an instrument is made within the period of 12 months

beginning at commencement; and
5
(b) a provision of the instrument amends a reference to

ComSuper or the CEO of ComSuper in any other instrument;

the provision may be expressed to take effect from commencement, or a
8
later time in the period referred to in paragraph (a), that occurs before
9
the instrument is made.

(2)
This item has effect despite subsection 12(2) of the Legislative
11
Instruments Act 2003.

(3)
If Schedule 1 to the Acts and Instruments (Framework Reform) Act
13
2015 commences before the end of the period referred to in
14
paragraph (1)(a) of this item, subsection 12(2) (retrospective application
15
of legislative instruments) of the Legislation Act 2003 (as amended by

that Schedule) does not apply in relation to an instrument referred to in

17 Constitutional safety net
--acquisition of property

(1)
If the operation of this Schedule would result in an acquisition of

property from a person otherwise than on just terms, the

Commonwealth is liable to pay a reasonable amount of compensation to

the person.

(2)
If the Commonwealth and the person do not agree on the amount of the

compensation, the person may institute proceedings in a court of
25
competent jurisdiction for the recovery from the Commonwealth of

such reasonable amount of compensation as the court determines.

18 Saving of existing delegations

(1)

(a) a delegation under section 36 of the Governance of

(a) if, before commencement, the delegation was to the CEO of

ComSuper--the chief executive officer (however described)

(b) otherwise--the individual who, immediately after

commencement, is to perform the function or exercise the
13
power.

19 Transfer of custody of records

(1)
Subitem (2) applies to any records or documents that, immediately
16
before commencement, were in the custody of the CEO of ComSuper.

(2)
The records and documents are to be transferred into the custody of the
18

20 Certificates taken to be authentic

22 Rules

(1)
The Minister may, by legislative instrument, make rules prescribing

matters:

(a) required or permitted by this Act to be prescribed by the
5
rules; or
6
(b) necessary or convenient to be prescribed for carrying out or
7
giving effect to this Act.

(2)
Without limiting subitem (1), the rules may prescribe matters of a
9
transitional nature (including prescribing any saving or application
10
provisions) relating to:
11
(a) the amendments or repeals made by this Act; or
12
(b) the enactment of this Act.

(3)
Without limiting subitem (2), rules made for the purposes of that
14
subitem may provide that the following Acts have effect with any
15
modifications prescribed by the rules:
16
(a) the Fair Work Act 2009;
17
(b) the Fair Work (Transitional Provisions and Consequential
18
Amendments) Act 2009;
19
(c) the Public Service Act 1999;
20
(d) the Governance of Australian Government Superannuation
21
Schemes Act 2011;
22
(e) the Long Service Leave (Commonwealth Employees) Act
23
1976.

(4)
To avoid doubt, the rules may not do the following:
25
(a) create an offence or civil penalty;
26
(b) provide powers of:
27
(i) arrest or detention; or
28
(ii) entry, search or seizure;
29
(c) impose a tax;
30
(d) set an amount to be appropriated from the Consolidated
31
Revenue Fund under an appropriation in this Act;
32
(e) amend this Act.

property from a person otherwise than on just terms, the

Commonwealth is liable to pay a reasonable amount of

compensation to the person.

(4) If the Commonwealth and the person do not agree on the amount

of the compensation, the person may institute proceedings in a
5
court of competent jurisdiction for the recovery from the
6
Commonwealth of such reasonable amount of compensation as the
7
court determines.

(5) In this section:
9
acquisition of property has the same meaning as in
10
paragraph 51(xxxi) of the Constitution.
11
just terms has the same meaning as in paragraph 51(xxxi) of the
12
Constitution.

4 First amendment of the Trust Deed

Application of this item
15
(1)
This item applies in relation to a legislative instrument that amends the
16
Trust Deed if:
17
(a) the instrument is the first instrument to amend the Trust Deed
18
on or after the day this item commences; and
19
(b) the instrument relates solely to the costs of the administration
20
of the Superannuation Act 2005 (as amended by this
21
Schedule) and the Trust Deed; and
22
(c) the instrument commences on or after the commencement of
23
this item.

No disallowance of first amendment

(2)
Section 42 of the Legislative Instruments Act 2003 does not apply in
26
relation to the instrument.

Despite subsection 12(2) of the Legislative Instruments Act 2003, a

provision of the instrument may take effect before the date the

instrument is registered.

(5)
If Schedule 1 to the Acts and Instruments (Framework Reform) Act

2015 commences before this item, subsection 12(2) (retrospective
6
application of legislative instruments) of the Legislation Act 2003 (as
7
amended by that Schedule) does not apply in relation to a provision of
8
the instrument.
