PORT KEMBLA INNER HARBOUR CONSTRUC TION AND AGREEMENT RATIFICATION ACT. Act No. 43, 1955. An Act to sanction and to provide for the construction and equipment of an inner harbour at Port Kembla; to authorise the construction of a railway from Coniston Marshalling Yards to the port boundary of that harbour; to ratify a certain Agreement made between The Broken Hill Proprietary Company Limited of the first part Australian Iron & Steel Limited of the second part and the Minister for Public Works for and on behalf of Her Most Gracious Majesty Queen Elizabeth I I of the third part with respect to the exchange of lands, with respect to the granting to those Companies of an exclusive right to construct wharves on certain lands and with respect to certain other matters; to provide for the carrying into effect of that Agreement; to amend the Public Works Act, 1912, and certain other Acts in certain respects; and for purposes connected therewith. [Assented to, 29th November, 1955.] it enacted by the Queen's Most Excellent Majesty, BE by and with the advice and consent of the Legis lative Council and Legislative Assembly of New South Wales in Parliament assembled, and by the authority of the same, as follows : -- P A R T I. PRELIMINARY. 1. (1) This Act may be cited as the " P o r t Kembla Inner Harbour Construction and Agreement Ratification Act, 1955." (2) This Act is divided into P a r t s as follows:-- PART I--PRELIMINARY--SS. 1-2. P A R T II--AUTHORISATION OF WORKS-- ss. 3-8. P A R T Hi--RATIFICATION OF AGREEMENT-- ss. 9-14. 2. 2 . In this Act, unless the context or subject matter otherwise indicates or requires-- " A g r e e m e n t " means the Agreement, a copy of which is set out in the Second Schedule to this Act. " A . I . S . " means Australian Iron & Steel Limited. " B . H . P . " means The Company Limited. Broken Hill Proprietary " C o m m i s s i o n e r " means the Commissioner for Railways incorporated by the Transport (Division of Functions) Act, 1932, or other the corporation controlling the Government Railways of New South Wales. " D i r e c t o r " means the Director of Public Works or other the Permanent Head of the Department of Public Works of New South Wales or the person acting as such for the time being. " P l a n " means the plan referred to in section four of this Act. PART II. AUTHORISATION OF WORKS. 3 . (1) (a) The carrying out of the works described in the F i r s t Schedule to this Act is hereby sanctioned. (b) The said works shall be deemed to be authorised works within the meaning of the Public Works Act, 1912, as amended by subsequent Acts. (c) The Minister for Public Works is empowered to carry out the work described in P a r t One of the F i r s t Schedule to this Act and shall be the constructing authority for the same within the meaning of the said Act, as so amended, and shall enter into such contracts and take all such necessary steps for the proper execution thereof as such authority may think proper. (d) The Commissioner is empowered to carry out the work described in Part Two of the First Schedule to to this Act and shall be the constructing authority for the same within the meaning of the said Act, as s o amended, and shall enter into such contracts and take all such necessary steps for the proper execution thereof as such authority may think proper. (e) Subject to paragraph (f) of this subsection the provisions of the Public Works Act, 1912, as amended by subsequent Acts, sections thirty-four, thirty-five, thirty-six and thirty-seven excepted, shall apply to and in respect of the works described in the First Schedule to this Act. (f) The provisions of subsection three of section one hundred and twenty-six of the Public Works Act, 1912, as amended by subsequent Acts, shall not apply to and in respect of the work described in Part Two of the F i r s t Schedule to this Act. (2) Without prejudice to the generality of subsec tion one of this section the provisions of section thirty-eight of the Public Works Act, 1912, as amended by subsequent Acts, shall apply to and in respect of any contracts referred to in paragraphs (c) and (d) of subsection one of this section. 4 . The plan of the work described in Part One of the F i r s t Schedule to this Act is the plan marked " P o r t Kembla Inner H a r b o u r " signed by the Minister for Public Works and countersigned by the Director, and deposited in the public office of the said Minister. 5 . The cost of carrying out the works described in the First Schedule to this Act (exclusive of land resumptions) is estimated at five million two hundred and fifty thousand pounds and such estimated cost shall not under any circumstances be exceeded by more than ten per centum. 6 . (1) The Minister, in respect of such portion or portions of the lands within the port boundaries delineated on the plan as are at the commencement of this Act used or dedicated as public road, is empowered t o close by notice in the Gazette the whole of that portion or those portions or such part or parts of that portion or those portions as he shall from time to time deem necessary necessary for the purposes of the work described in Part One of the First Schedule to this Act and upon publication in the Gazette of any such notice any and every dedication of the lands described in the notice for public road shall absolutely cease and determine and the rights of any person to use the lands so described or any part thereof for the purposes of a road shall be extinguished and the lands so described shall vest in the Minister as constructing authority for the purposes of the said work. (2) No claim against the Minister, whetherasa constructing authority or otherwise, for compensation shall arise from or in respect of anything done by him pursuant to subsection one of this section or from or in respect of the vesting pursuant to that subsection of any land in the Minister as constructing authority for the purposes of the said work. 7 . The work described in Part Two of the First Schedule to this Act may be constructed on, over, under, along or by the side of any road or highway, including a State highway or main road within the meaning of the Main Roads Act, 1924, as amended by subsequent A c t s : Provided that the construction of the said work on, over, under or along any such State highway or main road shall be for the sole purpose of allowing the said work to cross such State highway or main road. 8 . (1) If the work described in Part Two of the First Schedule to this Act crosses any road or any State highway or main road within the meaning of the Main Roads Act, 1924, as amended by subsequent Acts, on the level, the Commissioner as the constructing authority shall make such provision by w a y of approaches, protection or otherwise howsoever as he may deem to be requisite or expedient and upon the completion of the said work the maintenance of and any future paving, kerbing, guttering, roadmaking, draining and other construction work of a like or different nature in relation to such road, State highway or main road up to the sleeper ends on each side of the said work shall be undertaken, without any expense to the Commissioner, by by the council or The Commissioner for Main Roads or other authority, as the case may be, which would have been responsible therefor if the said work had not been constructed, notwithstanding that such road, State highway or main road may have become or be wholly or partly vested in the Commissioner. (2) If the said work is carried over any road or any State highway or main road within the meaning of the Main Roads Act, 1924, as amended by subsequent Acts, the maintenance of and any future paving, kerbing, guttering, roadmaking, draining and other construction work of a like or different nature in relation to such road, State highway or main road, excluding the bridge or structure or any part thereof by means of which the said work is carried over such road, State highway or main road, shall upon completion of the said work be undertaken, without any expense to the Commissioner, by the council or The Commissioner for Main Roads or other authority, as the case may be, which would have been responsible therefor if the said work had not been constructed, notwithstanding that such road, State highway or main road may have become or be wholly or partly vested in the Commissioner. (3) If the said work is carried under any road or any State highway or main road within the meaning of the Main Roads Act, 1924, as amended by subsequent Acts, the maintenance of and any future paving, kerbing, guttering, roadmaking, draining and other construction work of a like or different nature in relation to the surface of the roadway on any bridge or structure over which such road. State highway or main road runs and the approaches thereto shall upon the completion of the said work be undertaken, without any expense to the Commissioner, by the council or The Commissioner for Main Roads or other authority, as the case may be, which would have been responsible therefor if the said work had not been constructed, notwithstanding that such bridge or structure or approaches is or are on laud which may have become or is wholly or partly vested in the Commissioner. (4) (4) If the said work is carried under any road or any State highway or main road within the meaning of the Main Roads Act, 1924, as amended by subsequent Acts, the whole or any portion of any bridge or structure over which such road, State highway or main road runs or of any approach thereto which is not within the area of the land required for or for the purposes of the said work as a railway may be dedicated as a public road under the Public Roads Act, 1902, as amended by subsequent Acts, or as a public highway under section eighty-one of the Public Works Act, 1912, as amended by subsequent Acts. Where the said work is carried under any such State highway or main road any such dedication of the whole or any portion of any bridge or structure over which such State highway or main road runs shall have the same effect as if the whole or such portion, as the case may be, of such bridge or structure had been proclaimed by the Governor as a State highway or main road under the Main Roads Act, 1924, as amended by subsequent Acts. PART III. RATIFICATION OF AGREEMENT. 9 . (1) The Agreement is hereby approved, ratified and confirmed and may be carried into effect notwithstanding the provisions of any other Act. (2) All acts, matters and things, for or with respect to which provision is made in the Agreement, or which, by the Agreement, are agreed, directed, authorised or permitted to be made, done or executed by or on behalf of Her Majesty or the Minister for Public Works or the Maritime Services Board of New South Wales or the Commissioner or the Auditor-General are hereby sanctioned authorised and confirmed. 10. 1 0 . (1) The Minister is empowered to close by notice in the Gazette that part of Kembla Road (Main Road 295) comprised within the lands described in the First Part of the F i r s t Schedule to the Agreement and upon publication in the Gazette of such notice any and every dedication of the lands described in the First Part of the First Schedule to the Agreement for public road shall absolutely cease and determine and the rights of any person to use the lands so described or any part thereof for the purposes of a road shall, subject to the reserva tion contained in clause thirty-three of the Agreement, be extinguished and so much of the lands so described as is not already vested in the Minister shall vest in the Minister. Thereafter the Minister may convey the lands so described to B.H.P. pursuant to the provisions of clause two of the Agreement. (2) N o claim against the Minister for compensa tion shall arise from or in respect of anything done by him pursuant to subsection one of this section or from or in respect of the vesting pursuant to that subsection of any land in the Minister. 1 1 . The provisions of clause twenty of the Agreement shall bind the lands described in the First and Third Schedules to the Agreement and every part thereof into whosesoever hands the same may come and bind all persons interested therein. 1 2 . (1) The local land board constituted under the Crown Lands Consolidation Act, 1913, as amended by subsequent Acts, shall have jurisdiction to determine the annual rental under sub-clause (f) of clause twenty-two of the Agreement. (2) F o r the purpose of the said board determining such annual rental, such board and the chairman and members thereof shall respectively have the same powers as when acting under the Crown Lands Consolidation Act, 1913, as amended by subsequent Acts, for the purpose of the said board determining rentals thereunder. (3) (3) A n appeal by either party may be made to the Land and Valuation Court from the determination by the said board of such annual rental by filing within a period of twenty-eight days from the date of the determination appealed against notice of the appeal in the office of the Registrar of the Land and Valuation Court, and by serving within such period notice of the appeal on the other party to the determination. An appeal on behalf of Her Majesty against any such determination may be made by the Minister or by the Director on the Minister's behalf. (4) F o r the purpose of dealing with any and every such appeal the Land and Valuation Court and the Judge thereof shall have the same powers as when dealing with appeals from local land boards under the Crown Lands Consolidation Act, 1913, as amended by subsequent Acts. 1 3 . The Harbour and Tonnage Rates Act, 1920-1953, and any Act amending or replacing the same and the regulations from time to time in force thereunder but in so far only as such Acts and regulations relate to the imposition, collection and payment of tonnage rates and berthing charges shall apply to and in respect of every wharf (which term for the purposes of this section shall include any structure, landing place or facility where cargo may be loaded or discharged or where vessels may be berthed) to be hereafter erected, constructed or provided over and along such portion of the Inner Harbour (to be constructed pursuant to Part I I of this Act) as is described in paragraph (a) of clause twentytwo of the Agreement or upon lands adjoining or adjacent thereto as if the same were a public wharf and accordingly tonnage rates and berthing charges in accordance with the said Acts and regulations will be payable in respect of all vessels berthing at any such wharf subject to the following exceptions, such exceptions being applicable only during the period of ninety-nine ninety-nine years calculated from the date of commence ment of the Agreement and only to vessels whilst berthed at any such wharf, namely that-- (i) A n y vessel carrying loading or discharging only cargo the property of B.H.P. and A.I.S. or either of them and/or of any other company or companies in which B.H.P. and A.I.S. or either of them holds at least one-third of the share capital shall be exempt from the payment of such tonnage rates and berthing charges. (ii) A n y vessel carrying loading or discharging cargo part only of which is the property of B.H.P. and A.I.S. or either of them and/or of any other company or companies in which B.H.P. and A.I.S. or either of them holds at least one-third of the share capital shall be granted a rebate of such tonnage rates and berthing charges to the extent of the ratio which the part of the cargo which is the property of B.H.P. and A.I.S. or either of them and/or of any other company or companies in which B.H.P. and A.I.S. or either of them holds at least one-third of the share capital bears to the whole of such cargo. (iii) Any vessel the property of or chartered by B.H.P. and A.I.S. or either of them or the property of or chartered by any other company in which B.H.P. and A.I.S. or either of them holds at least one-third of the share capital berthing for a purpose other than the loading or discharging of cargo shall be exempt from the payment of such tonnage rates and berthing charges. In the exemptions referred to in the foregoing pro visions of this section " c a r g o " does not include coal and coke shipped pursuant to any consent of the Minister given under clause twenty-nine of the Agreement. 14. 1 4 . Section three hundred and twenty-seven of the Local Government Act, 1919, as amended by subsequent Acts, shall not apply in respect of any subdivision of land made in connection with the Agreement. FIRST SCHEDULE. D E S C R I P T I O N PART O F ONE. WORKS. T h e c o n s t r u c t i o n of an i n n e r h a r b o u r at P o r t K e m b l a located generally on t h e site k n o w n as T o m T h u m b ' s L a g o o n h a v i n g a n area of a p p r o x i m a t e l y 100 acres t o a depth of 32 feet a t I n d i a n S p r i n g Low W a t e r t o g e t h e r w i t h a c h a n n e l 350 feet wide between t r a i n i n g walls to j o i n t h e e x i s t i n g outer h a r b o u r to t h e proposed i n n e r h a r b o u r , a p p r o x i m a t e l y 2,500 lineal feet of w h a r f a g e , r o a d access t h e r e t o a n d other a n c i l l a r y services a n d w i t h all necessary works i n c i d e n t a l thereto. T h e whole of t h e work hereinbefore described shall be subject t o such modifications a n d deviations as m a y be deemed necessary or desirable by t h e c o n s t r u c t i n g a u t h o r i t y . T h e lines of pipes for t h e conveyance of w a t e r c o n s t r u c t e d or laid i n a n d t h r o u g h t h e l a n d s described i n t h e F i r s t Schedule hereto which a r e t h e p r o p e r t y of t h e M e t r o p o l i t a n W a t e r Sewerage a n d D r a i n a g e B o a r d a r e not i n c l u d e d i n t h e said exchange b u t B . H . P . shall a t i t s own cost m a k e any necessary a r r a n g e m e n t s w i t h t h e said B o a r d w i t h respect t o t h e m a n d t h e M i n i s t e r shall if r e q u i r e d assist B . H . P . i n m a k i n g such a r r a n g e m e n t s . 9. T h e C o m p a n i e s shall give to t h e M i n i s t e r on t h e d a t e of com pletion v a c a n t possession of all l a n d s described i n t h e Second a n d F o u r t h Schedules h e r e t o b u t subject t o t h e r i g h t s of t h e C o m m i s sioner for R a i l w a y s of t h e said S t a t e V a c u u m Oil C o m p a n y P r o p r i e t a r y L i m i t e d a n d C o m m o n w e a l t h Oil Refineries L i m i t e d . 10. F r o m t h e d a t e of completion B . H . P . shall h a v e peaceful a n d u n d i s t u r b e d possession of t h e l a n d s described i n t h e Second P a r t of t h e F i r s t Schedule hereto a n d A . I . S . shall subject t o C l a u s e 19 of t h i s A g r e e m e n t h a v e peaceful and u n d i s t u r b e d possession of t h e lands described in t h e T h i r d S c h e d u l e hereto. 11. ( a ) T h e M i n i s t e r shall be empowered by t h e A c t r a t i f y i n g t h i s A g r e e m e n t to close t h a t p o r t i o n of M a i n R o a d 295 described in t h e F i r s t P a r t of t h e F i r s t S c h e d u l e hereto a n d t h e M i n i s t e r not not later t h a n t h r e e m o n t h s after t h e bridge on such r o a d across T o m T h u m b ' s L a g o o n a n d t h e s o u t h e r n a p p r o a c h t h e r e t o h a v e been demolished shall by N o t i c e in t h e G a z e t t e close t h a t p o r t i o n of M a i n R o a d 295 as is described i n t h e F i r s t P a r t of t h e F i r s t Schedule hereto a n d upon p u b l i c a t i o n i n t h e G a z e t t e of such n o t i c e any a n d every dedication of such l a n d for a public r o a d shall absolutely cease and d e t e r m i n e a n d subject to t h e r e s e r v a t i o n con t a i n e d i n C l a u s e 33 hereof t h e r i g h t of a n y p e r s o n to use t h e same for t h e p u r p o s e of a r o a d shall be e x t i n g u i s h e d a n d so m u c h of such l a n d as is n o t already vested in t h e M i n i s t e r shall vest i n t h e M i n i s t e r a n d t h e A c t r a t i f y i n g t h i s A g r e e m e n t shall provide accord ingly a n d a u t h o r i s e t h e M i n i s t e r t o convey such l a n d to B . H . P . p u r s u a n t to t h e provisions of Clause 2 of t h i s A g r e e m e n t . (b) T o t h e e x t e n t t h a t t h e provisions of Clauses 14 a n d 18 hereof r e l a t e to t h e a g r e e m e n t by t h e M i n i s t e r to convey a n d a s s u r e t h e l a n d described in t h e F i r s t P a r t of t h e F i r s t S c h e d u l e h e r e t o to B . H . P . t h e expression " t h e d a t e of c o m m e n c e m e n t of t h i s Agree m e n t " shall be construed i n those Clauses as t h e d a t e of p u b l i c a t i o n i n t h e G a z e t t e of t h e notice closing t h a t p a r t of M a i n R o a d 295 described i n t h e F i r s t P a r t of t h e F i r s t Schedule hereto a n d t h e d a t e of completion of t h e conveyance of such l a n d shall be related to t h e d a t e of c o m m e n c e m e n t t h u s a s c e r t a i n e d a n d d e t e r m i n e d i n t h e m a n n e r defined in Clause 18. (c) B . H . H . P . in respect of t h e l a n d s agreed t o be assured by it t o t h e M i n i s t e r a n d A . I . S . i n respect of t h e l a n d s agreed to be assured by i t to t h e M i n i s t e r shall respectively be e n t i t l e d t o t h e r e n t s a n d profits to t h e d a t e of completion a n d shall pay a n d bear all r a t e s taxes assessments a n d outgoings to t h a t d a t e from which d a t e t h e M i n i s t e r shall be entitled to such r e n t s and profits. T h e M i n i s t e r shall be entitled to t h e r e n t s a n d profits to t h e date of completion a n d shall pay a n d bear all r a t e s taxes assessments a n d o u t g o i n g s (if a n y ) to t h a t d a t e i n respect of t h e l a n d s hereby agreed t o be assured by t h e M i n i s t e r to t h e respective C o m p a n i e s from which d a t e B . H . P . or A . I . S . (as t h e case m a y be) shall be entitled to such r e n t s and profits and shall pay or bear all such r a t e s taxes assessments and outgoings. All necessary a p p o r t i o n m e n t s u n d e r t h i s Clause shall be m a d e and adjusted on completion. 13. 13. N o e r r o r or m i s d e s c r i p t i o n of any of t h e lands agreed t o be exchanged u n d e r t h i s A g r e e m e n t shall a n n u l these exchanges or e i t h e r of t h e m b u t c o m p e n s a t i o n (if d e m a n d e d i n w r i t i n g before completion b u t n o t otherwise a n d if t h e M i n i s t e r or B . H . P . or A . I . S . (as t h e case m a y be) is otherwise entitled t h e r e t o u n d e r t h i s A g r e e m e n t ) shall be m a d e t o or given by t h e relevant p a r t i e s h e r e t o as t h e case m a y r e q u i r e a n d should t h e r e l e v a n t p a r t i e s be u n a b l e to agree between themselves as to t h e a m o u n t thereof such a m o u n t shall be settled by two a r b i t r a t o r s one to be a p p o i n t e d by t h e M i n i s t e r a n d t h e other by B . H . P . or A . I . S . ( a s t h e case m a y be) i n a c c o r d a n c e w i t h t h e provisions of t h e A r b i t r a t i o n Act, 1902. 14. ( a ) All objections a n d r e q u i s i t i o n s (if a n y ) which u n d e r t h i s A g r e e m e n t t h e C o m p a n i e s or either of t h e m shall be entitled to m a k e shall be m a d e a n d delivered t o t h e Crown Solicitor of the S t a t e of N e w S o u t h W a l e s w i t h i n t w e n t y one days from t h e d a t e of c o m m e n c e m e n t of t h i s A g r e e m e n t a n d all objections a n d r e q u i s i t i o n s n o t so m a d e shall be deemed to be waived a n d w i t h i n t w e n t y eight days from t h e d a t e of c o m m e n c e m e n t of t h i s A g r e e m e n t the C o m p a n i e s shall at t h e i r own expense t e n d e r t o t h e C r o w n Solicitor such conveyances a n d assurances of t h e l a n d s described i n t h e F i r s t a n d T h i r d Schedules h e r e t o as m a y be necessary. I f any of t h e p a r t i e s h e r e t o shall be u n a b l e or u n w i l l i n g t o comply w i t h or remove any objection or r e q u i s i t i o n which a n y other of t h e m shall be entitled to m a k e u n d e r t h i s A g r e e m e n t such p a r t y shall w h e t h e r a n y a t t e m p t to remove or comply w i t h such objection or r e q u i s i t i o n h a s been m a d e or n o t a n d n o t w i t h s t a n d i n g a n y n e g o t i a t i o n s or l i t i g a t i o n whatsoever i n respect thereof be a t liberty to rescind t h i s A g r e e m e n t a n d i n no case shall t h e p a r t y so rescind i n g t h e A g r e e m e n t be liable for a n y d a m a g e s costs charges expenses a n d losses whatsoever i n c u r r e d by a n y o t h e r p a r t y i n a n d about t h i s A g r e e m e n t A N D I T I S H E R E B Y D E C L A R E D t h a t seven d a y s ' n o t i c e of t h e i n t e n t i o n of any of t h e p a r t i e s h e r e t o t o r e s c i n d t h i s A g r e e m e n t shall be deemed reasonable n o t i c e of such i n t e n t i o n u n d e r Section 56 of t h e C o n v e y a n c i n g A c t , 1919-1954. 16. 16. A l l n o t i c e s a n d d o c u m e n t s h e r e u n d e r m a y be served as m e n t i o n e d i n S e c t i o n 170 of t h e C o n v e y a n c i n g A c t , 1919-1954. 17. Clauses 2 t o 6 inclusive of t h e C o n d i t i o n s of Sale c o n t a i n e d i n Schedule I I I of t h e C o n v e y a n c i n g Act, 1919-1954, shall n o t apply t o t h i s A g r e e m e n t except insofar as t h e s a m e or a n y p a r t thereof a r e incorporated herein. 18. S u b j e c t to C l a u s e 39 of t h i s A g r e e m e n t t h e exchanges provided for i n t h i s A g r e e m e n t shall be completed on a d a t e w i t h i n two m o n t h s f r o m t h e d a t e of c o m m e n c e m e n t of t h i s A g r e e m e n t (or such e x t e n d e d period as t h e M i n i s t e r m a y a g r e e to) by t h e C o m p a n i e s h a n d i n g over to t h e Crown Solicitor a t h i s office all t h e necessary a s s u r a n c e s t o t h e M i n i s t e r a n d t h e C r o w n Solicitor h a n d i n g over to t h e respective C o m p a n i e s all necessary a s s u r a n c e s to each of t h e m a n d t h e d a t e on w h i c h such a s s u r a n c e s a r e so h a n d e d over shall be t r e a t e d as t h e d a t e of completion of s u c h exchanges. 19. W i t h i n one m o n t h f r o m t h e d a t e of completion t h e M i n i s t e r will serve or cause t o be served notices t e r m i n a t i n g t h e r i g h t s of t h e V a c u u m Oil C o m p a n y P r o p r i e t a r y L i m i t e d a n d T h e C o m m o n w e a l t h Oil Refineries L i m i t e d u n d e r e x i s t i n g a g r e e m e n t s w i t h t h e M i n i s t e r r e l a t i n g t o oil pipelines i n a n d over t h e said l a n d described i n t h e F i r s t P a r t of t h e T h i r d Schedule h e r e t o a n d p e n d i n g t h e t e r m i n a t i o n of such a g r e e m e n t s t h e possession by A . I . S . of such l a n d shall be subject t o t h e r i g h t s of those C o m p a n i e s . 20. T h e C o m p a n i e s a n d each of t h e m hereby a g r e e to g r a n t to t h e M i n i s t e r h i s successors or assigns w i t h o u t c o m p e n s a t i o n ease m e n t s a n d r i g h t s w i t h respect to t h e erection operation a n d m a i n t e n a n c e of all such a d d i t i o n a l electricity t r a n s m i s s i o n a n d / o r t e l e p h o n e lines as t h e M i n i s t e r h i s successors or assigns m a y a t a n y t i m e h e r e a f t e r desire to erect or c o n s t r u c t in over or u p o n t h e l a n d s described i n t h e F i r s t a n d T h i r d Schedules h e r e t o or a n y p a r t or p a r t s thereof along r o u t e s approved of by t h e C o m p a n y concerned a n d such e a s e m e n t s a n d r i g h t s shall if t h e M i n i s t e r h i s successors or assigns r e q u i r e s be so g r a n t e d i n a form s i m i l a r to t h a t set out i n t h e Second P a r t of t h e S e v e n t h Schedule h e r e t o w i t h respect t o t h e electricity t r a n s m i s s i o n lines a n d in a f o r m s i m i l a r to t h a t set o u t i n t h e T h i r d P a r t of t h e S e v e n t h S c h e d u l e h e r e t o w i t h respect to t h e t e l e p h o n e lines a n d shall i n c l u d e t h e land along t h e r o u t e of each such line to t h e w i d t h of 60 feet i n t h e case of t h e electricity t r a n s mission lines a n d to s u c h w i d t h n o t m o r e t h a n 60 feet a l o n g t h e r o u t e of t h e l i n e as t h e M i n i s t e r h i s successors or assigns t h i n k s necessary in t h e case of t e l e p h o n e lines. T h e A c t r a t i f y i n g t h i s A g r e e m e n t shall provide t h a t t h e provisions of t h i s Clause shall b i n d t h e l a n d s described in t h e F i r s t a n d T h i r d Schedules h e r e t o a n d every p a r t thereof i n t o whosesoever h a n d s t h e s a m e may come a n d b i n d all persons i n t e r e s t e d t h e r e i n . 21. 21. T h e C o m p a n i e s hereby j o i n t l y a n d severally covenant w i t h t h e M i n i s t e r t h a t u p o n b e i n g requested i n w r i t i n g so to do t h e y , a n d each of t h e m will g r a n t to t h e M i n i s t e r an easement and r i g h t s by a reasonable r o u t e over l a n d s owned by t h e C o m p a n i e s or one of t h e m ( a s t h e case m a y be) to c o n s t r u c t and m a i n t a i n an electricity t r a n s m i s s i o n line for t h e p u r p o s e of o p e r a t i n g electric dredges for a n d in c o n n e c t i o n w i t h t h e c o n s t r u c t i o n and m a i n t e n a n c e of t h e Inner Harbour. 22. P . shall h a v e t h e exclusive r i g h t from t i m e to t i m e a n d at all t i m e s d u r i n g t h e period of n i n e t y n i n e (99) years calculated from t h e date of c o m m e n c e m e n t of t h i s A g r e e m e n t to c o n s t r u c t a n d erect wharves a n d other facilities for l o a d i n g a n d u n l o a d i n g goods a n d other s t r u c t u r e s u p o n a n y a n d every p a r t of t h a t p o r t i o n of t h e I n n e r H a r b o u r f r o n t i n g t h e proposed b o u n d a r y of t h e l a n d of B . H . P . c o m m e n c i n g n e a r t h e left b a n k of A l l a n ' s Creek ( a s re-aligned p u r s u a n t to t h i s A g r e e m e n t ) a n d e x t e n d i n g s o u t h easterly for a d i s t a n c e of approxi m a t e l y 3725 feet t o a p o i n t n e a r t h e western b o u n d a r y of M a i n R o a d 295 as i n d i c a t e d by t h e letters " A " a n d " B " on t h e p l a n h e r e u n t o a n n e x e d a n d e x t e n d i n g to a d i s t a n c e of 50 feet o u t w a r d s i n t o t h e I n n e r H a r b o u r a n d w h i c h p o r t i o n of t h e I n n e r H a r b o u r is h e r e i n after referred to as t h e "said p o r t i o n " . (b) I n consideration of t h e r i g h t conferred upon B . H . P . by sub-clauses ( a ) a n d (c) of t h i s clause B . H . P . will pay to t h e M i n i s t e r by way of r e n t a l firstly t h e a n n u a l s u m of F i v e h u n d r e d p o u n d s (£500) (subject to r e - a p p r a i s e m e n t as provided by sub-clause (f) of t h i s clause) i n each a n d every year d u r i n g t h e said period of n i n e t y - n i n e (99) years t h e first of such p a y m e n t s to be m a d e by B . H . P . w i t h i n one m o n t h from t h e c o m m e n c e m e n t of t h i s Agree m e n t a n d t h e s u b s e q u e n t p a y m e n t s to be a n n u a l l y i n a d v a n c e u p o n t h e a n n i v e r s a r y of t h e d a t e of t h e c o m m e n c e m e n t of t h i s A g r e e m e n t a n d secondly t h e a n n u a l s u m s specified as a d d i t i o n a l r e n t a l i n Clause 23 hereof i n t h e a m o u n t s a n d a t t h e t i m e s specified in t h e said Clause 23. (c) U p o n completion of any w h a r f or other s t r u c t u r e con s t r u c t e d or erected by or on behalf of B . H . P . u n d e r t h e provisions of t h i s C l a u s e B . H . P . shall be entitled to receive for t h e b a l a n c e t h e n u n e x p i r e d of t h e said period of n i n e t y - n i n e (99) years a lease of t h e p a r t of t h e said p o r t i o n u p o n which such w h a r f or o t h e r s t r u c t u r e has been c o n s t r u c t e d or erected a n d B . H . P . shall n o t be called u p o n t o pay i n respect of a n y such lease any r e n t a l i n a d d i t i o n to t h e said s u m s referred to i n sub-clause (b) of t h i s C l a u s e a n d C l a u s e 23 hereof P R O V I D E D H O W E V E R t h a t a n y lease or leases g r a n t e d p u r s u a n t to t h i s sub-clause shall i n c l u d e conditions in or to t h e effect of t h e conditions set out i n t h e E i g h t h Schedule hereto. (d) ( d ) All w h a r v e s s t r u c t u r e s a n d facilities which B . H . P . has t h e r i g h t t o c o n s t r u c t a n d erect p u r s u a n t to subclause ( a ) of t h i s Clause shall be of such t y p e of c o n s t r u c t i o n as t h e M i n i s t e r m a y r e q u i r e a n d shall be c o n s t r u c t e d a n d erected w i t h o u t cost or expense to t h e M i n i s t e r i n a proper a n d w o r k m a n l i k e m a n n e r to t h e s a t i s faction of t h e M i n i s t e r a n d in accordance i n all respects w i t h specifications a n d p l a n s previously approved i n w r i t i n g by t h e M i n i s t e r . T h e specifications and p l a n s referred to i n t h i s sub-clause shall be f u r n i s h e d by B . H . P . to t h e M i n i s t e r w i t h o u t cost or expense to the: M i n i s t e r . (e) B . H . P . shall pay to t h e M i n i s t e r on d e m a n d all costs a n d fees i n c u r r e d a n d t h e cost of all surveys and plans m a d e i n connection w i t h a n y lease g r a n t e d to B . H . P . in accordance w i t h t h e provisions of sub-clause ( c ) of t h i s Clause or i n connection w i t h a n y wharf facility or o t h e r s t r u c t u r e erected or proposed t o be erected by B . H . P . i n accordance w i t h t h e provisions of t h i s Clause. (f) T h e said s u m of five h u n d r e d p o u n d s (£500) shall be liable to r e a p p r a i s e m e n t a t t h e e x p i r a t i o n of each period of t w e n t y five years d u r i n g t h e said period of n i n e t y n i n e years a n d i n every such case t h e re-appraised a n n u a l p a y m e n t shall be such s u m as is d e t e r m i n e d by t h e Local L a n d B o a r d c o n s t i t u t e d u n d e r t h e Crown L a n d s Consolidation Act, 1913, as amended, or on appeal therefrom by t h e L a n d a n d V a l u a t i o n C o u r t . (g) T h e A c t r a t i f y i n g t h i s A g r e e m e n t shall provide-- (i) T h a t for t h e p u r p o s e of t h e Local L a n d B o a r d d e t e r m i n i n g t h e a n n u a l p a y m e n t u n d e r t h i s sub-clause such B o a r d a n d t h e C h a i r m a n a n d Members thereof shall respectively h a v e t h e s a m e powers as w h e n a c t i n g u n d e r t h e Crown L a n d s Con solidation Act, 1913, as amended, for t h e purpose of t h e said B o a r d d e t e r m i n i n g r e n t a l s t h e r e u n d e r : a n d ( i i ) T h a t a n y appeal to t h e L a n d a n d V a l u a t i o n C o u r t from t h e d e t e r m i n a t i o n by t h e Local L a n d B o a r d of such a n n u a l p a y m e n t u n d e r t h i s subclause shall be m a d e w i t h i n t w e n t y eight days of t h e d a t e of t h e d e t e r m i n a t i o n by filing w i t h i n such period n o t i c e of t h e appeal in t h e office of t h e R e g i s t r a r of t h e L a n d a n d V a l u a t i o n C o u r t a n d by serving w i t h i n t h e same period notice of t h e appeal on t h e o t h e r p a r t y to t h e d e t e r m i n a t i o n : and ( i i i ) T h a t for the p u r p o s e of dealing w i t h any a n d every such appeal t h e L a n d a n d V a l u a t i o n C o u r t a n d t h e J u d g e thereof shall have t h e same powers as w h e n dealing with appeals from Local L a n d B o a r d s u n d e r t h e Crown L a n d s Consolida t i o n A c t , 1913, as amended. (h) ( h ) T h e M i n i s t e r agrees w i t h B . H . P . t h a t h e will n o t a t any t i m e d u r i n g t h e said period of n i n e t y n i n e years g r a n t t o any p e r s o n w i t h o u t t h e consent of B . H . P . any r i g h t of occupancy of or a n y r i g h t to erect or c o n s t r u c t or place any s t r u c t u r e u p o n i n or over t h e bed of t h e I n n e r H a r b o u r a d j o i n i n g or adjacent t o t h e said p o r t i o n which would i n t e r f e r e u n r e a s o n a b l y w i t h t h e exercise by B . H . P . of any of t h e r i g h t s g r a n t e d to i t u n d e r t h e provisions of t h i s clause A N D i n a n y case shall n o t g r a n t a n y such r i g h t closer to t h e said portion t h a n a l i n e generally 60 feet d i s t a n t t h e r e f r o m . ( i ) N o t h i n g i n t h i s A g r e e m e n t shall be c o n s t r u e d to imply any right in B.H.P.-- (i) to erect wharves or o t h e r facilities for l o a d i n g or u n l o a d i n g goods or a n y o t h e r s t r u c t u r e u p o n a n y p a r t of t h e I n n e r H a r b o u r i n a d d i t i o n to t h e r i g h t s expressly conferred u p o n such C o m p a n y by t h i s c l a u s e : ( i i ) to deny to t h e M i n i s t e r h i s a g e n t s s e r v a n t s a n d / o r con t r a c t o r s access to t h e said p o r t i o n for t h e purposes of t h e c o n s t r u c t i o n a n d / o r t h e m a i n t e n a n c e of t h e I n n e r H a r b o u r : ( i i i ) to p r e v e n t or r e s t r a i n t h e M i n i s t e r h i s a g e n t s s e r v a n t s or c o n t r a c t o r s from r e m o v i n g from t h e said p o r t i o n soil s a n d gravel rock a n d other m a t e r i a l s which i n t h e opinion of t h e M i n i s t e r should be removed for t h e p u r p o s e of t h e con s t r u c t i o n a n d / o r t h e m a i n t e n a n c e of t h e I n n e r H a r b o u r : (iv) t o direct t h e M i n i s t e r as to t h e o r d e r i n which b e r t h s shall be m a d e available to B . H . P . 23. ( a ) W h e n c o n s t r u c t i o n of t h e I n n e r H a r b o u r h a s proceeded to t h e stage a t which t h e r e is available for u s e along t h e f r o n t a g e of t h e said p o r t i o n a b e r t h of 500 feet i n l e n g t h a n d sixty feet i n w i d t h dredged t o a depth of 28 feet below I n d i a n S p r i n g Low W a t e r w i t h a s w i n g i n g b a s i n TOO feet wide ( i n c l u d i n g t h e w i d t h of t h e b e r t h ) dredged to a depth of 25 feet below I n d i a n S p r i n g Low W a t e r a n d an a p p r o a c h c h a n n e l n o t less t h a n 250 feet wide from t h e e x i s t i n g P o r t K e m b l a H a r b o u r t o t h e said s w i n g i n g b a s i n a n d berth dredged to a d e p t h of 25 feet below I n d i a n S p r i n g Low W a t e r t h e D i r e c t o r shall w i t h i n f o u r t e e n days issue t o B . H . P . a certificate t h a t such b e r t h s w i n g i n g basin a n d a p p r o a c h c h a n n e l a r e available for use a n d c e r t i f y i n g t h e d a t e on which t h e y first b e c a m e available for use. (b) U p o n t h e M i n i s t e r m a k i n g t h e first b e r t h s w i n g i n g basin a n d t h e a p p r o a c h c h a n n e l available subclause ( a ) of t h i s clause B . H . P . covenants t h a t way of a d d i t i o n a l r e n t a l to t h e M i n i s t e r i n each of 500 feet t h e as provided in i t will p a y by a n d every year of of the unexpired portion of the said period of ninety-nine years from the date of the commencement of this Agreement annual pay ments as follows:-- First Year . . £50,000 Second ,, £48,000 Third ,, . . £46,000 Fourth ,, . . £44,000 Fifth ,, . . £42,000 Sixth ,, . . £40,000 Seventh ,, . . £38,000 Eighth ,, . . £36,000 Ninth ,, . . £34,000 Tenth ,, . . £32,000 Eleventh ,, . . £30,000 Twelfth ,, . . £28,000 Thirteenth ,, . . £26,000 Fourteenth ,, . . £24,000 Fifteenth ,, . . £22,000 Sixteenth ,, and each subsequent year --at the rate of . . £20,000 for each year and a proportionate part thereof for any period less than a year the first of such payments shall be made within three months of the date of the issue of the certificate referred to in subclause (a) of this clause and each subsequent payment will be made annually in advance upon the anniversary of the date set out in such Certificate as the date on which the berth swinging basin and approach channel first became available for use. (c) The Minister shall not be entitled to any increase in the annual payments by way of additional rental mentioned in the last preceding subclause in respect of further berths along the frontage of the said portion made available to B.H.P. nor shall such payments be subject to re-appraisement. 24. (a) B.H.P. covenants with the Minister that B.H.P. shall pay to the Minister the costs and expenses incurred by him in carrying out-- (i) such original dredging or other work as may be necessary to provide a berth 500 feet long and C O feet wide with a depth of not less than 28 feet below Indian Spring Low Water along the frontage of the said portion as provided in sub clause (a) of Clause 23 hereof, and (ii) such further dredging or other work as may from time to time be required by B.H.P. for the provision of additional berths C O feet wide along the frontage of the said portion or or for t h e m a i n t e n a n c e or d e e p e n i n g of berths PROVIDED H O W E V E R t h a t t h e M i n i s t e r shall n o t be r e q u i r e d t o dredge or remove from t h e b e r t h s solid m a t t e r dropped from t h e w h a r v e s l a n d i n g places or vessels u s i n g t h e berths (b) N o t w i t h s t a n d i n g t h e covenant hereinbefore contained on t h e p a r t of B . H . P . t o pay t o t h e M i n i s t e r t h e costs and expenses i n c u r r e d by h i m i n c a r r y i n g o u t t h e work referred t o in sub clause ( a ) of t h i s Clause B . H . P . shall be p e r m i t t e d to carry o u t itself a n d a t i t s own expense all d r e d g i n g as m a y from t i m e to t i m e be r e q u i r e d by B . H . P . for t h e provision of a d d i t i o n a l berths 60 feet wide along t h e f r o n t a g e of t h e said p o r t i o n or for t h e m a i n t e n a n c e a n d d e e p e n i n g of b e r t h s subject to t h e approval of t h e M i n i s t e r i n w r i t i n g being first o b t a i n e d and u p o n such c o n d i t i o n s as m a y be d e t e r m i n e d by t h e M i n i s t e r . (c) T h e costs a n d expenses i n c u r r e d by t h e M i n i s t e r in carry i n g o u t t h e work provided by sub-clause ( a ) of t h i s Clause shall be p a i d by B . H . P . t o t h e M i n i s t e r on d e m a n d and a Certificate of t h e D i r e c t o r of t h e a m o u n t of such costs a n d expenses i n c u r r e d by t h e M i n i s t e r shall be p r i m a facie evidence thereof. 25. ( a ) B . H . P . hereby c o v e n a n t s t h a t w i t h o u t cost t o t h e M i n i s t e r a n d w h e n called u p o n i n w r i t i n g to do so by t h e M i n i s t e r i t shall r e a l i g n a n d deepen t h e j u n c t i o n of A l l a n ' s Creek w i t h t h e I n n e r H a r b o u r t h e whole of t h e work to be c a r r i e d out in accordance w i t h plans p r e p a r e d w i t h o u t expense to t h e M i n i s t e r a n d approved by t h e M i n i s t e r and w i t h i n such t i m e as h e m a y specify P R O V I D E D H O W E V E R t h a t t h e i n t e r s e c t i o n of t h e left b a n k of A l l a n ' s Creek a t a h e i g h t of t e n (10) feet above I n d i a n S p r i n g Low W a t e r w i t h t h e s o u t h western b o u n d a r y of t h e 8 acres 3 roods 39 perches described i n t h e Second P a r t of t h e Second Schedule hereto to be a c q u i r e d from B . H . P . shall be n o t less t h a n t h r e e h u n d r e d (300) feet s o u t h easterly from t h e angle i n t h a t b o u n d a r y formed by lines b e a r i n g 342 degrees 57 m i n u t e s a n d 312 degrees 57 m i n u t e s a n d m a r k e d w i t h the letter " C " in the plan hereunto annexed A N D P R O V I D E D F U R T H E R t h a t t h e outlet of A l l a n ' s Creek shall be deepened to n o t less t h a n 15 feet below I n d i a n S p r i n g Low W a t e r a n d t h e bed of t h e creek shall be evenly g r a d e d from t h a t d e p t h at its outlet t o t h e I n n e r H a r b o u r to i t s e x i s t i n g d e p t h a t a p o i n t 300 feet u p s t r e a m f r o m t h e aforesaid i n t e r s e c t i o n of t h e left b a n k of A l l a n ' s Creek w i t h t h e said s o u t h w e s t e r n b o u n d a r y . (b) deepening t h e plans t h e Creek Minister. B . H . P . hereby covenants t h a t when t h e r e a l i g n m e n t and of A l l a n ' s Creek h a s been completed i n a c c o r d a n c e w i t h approved by t h e M i n i s t e r it shall a t all t i m e s m a i n t a i n i n a c c o r d a n c e w i t h such p l a n s w i t h o u t expense t o t h e 26 ( a ) T h e C o m p a n i e s hereby j o i n t l y a n d severally c o v e n a n t w i t h t h e M i n i s t e r t h a t t h e y or one of t h e m w i t h o u t cost to t h e M i n i s t e r shall u p o n t h e d a t e on which t h e D i r e c t o r shall h a v e certified t h a t a a berth 500 feet long a s w i n g i n g basin a n d approach c h a n n e l were first available for use as provided in sub-clause ( a ) of C l a u s e 23 of this A g r e e m e n t have commenced or caused to be commenced t h e erection a n d c o n s t r u c t i o n on lands a t P o r t K e m b l a or t h e r e a b o u t s owned by t h e C o m p a n i e s or one of t h e m of a blast f u r n a c e or furnaces a d j a c e n t to t h e I n n e r H a r b o u r a n d other works a n d shall t h e r e a f t e r c o n t i n u o u s l y proceed or cause to be proceeded with such erection and c o n s t r u c t i o n so t h a t a t t h e expiration of t h e period of six years from t h e date of such Certificate or of such f u r t h e r period, if any, as t h e A u d i t o r G e n e r a l in w r i t i n g m a y allow, t h e C o m p a n i e s or one of t h e m shall have w i t h o u t cost to t h e M i n i s t e r erected a n d c o n s t r u c t e d or caused t o be erected a n d c o n s t r u c t e d upon such lands a n d upon t h e said portion after t h e date of c o m m e n c e m e n t of t h i s A g r e e m e n t works and i m p r o v e m e n t s to t h e cost of T w e n t y million p o u n d s (£20,000,000) for t h e purpose of c a r r y i n g on i n d u s t r i a l operations on such lands a n d t h e C o m p a n i e s hereby jointly and severally c o v e n a n t with t h e M i n i s t e r to erect and c o n s t r u c t such works and i m p r o v e m e n t s to t h e said cost after t h e date of commence m e n t of t h i s A g r e e m e n t and before the e x p i r a t i o n of t h e said period of six years (or f u r t h e r period, if any, allowed i n w r i t i n g by t h e A u d i t o r - G e n e r a l as aforesaid) accordingly. (b) I n t h e event of t h e Companies f a i l i n g to erect and c o n s t r u c t o r t o c a u s e to be erected or c o n s t r u c t e d upon t h e said l a n d s and t h e said p o r t i o n such works and i m p r o v e m e n t s to a cost of T w e n t y million p o u n d s (£20,000,000) as r e q u i r e d by t h e l a s t p r e c e d i n g sub c l a u s e w i t h i n t h e t i m e t h e r e i n provided t h e C o m p a n i e s hereby j o i n t l y and severally covenant t o pay to t h e M i n i s t e r as l i q u i d a t e d d a m a g e s a n d n o t as a p e n a l t y a s u m calculated at t h e r a t e of T e n pounds (£10) per c e n t u m of t h e a m o u n t by which t h e a m o u n t of Twenty million p o u n d s (£20,000,000) exceeds t h e cost of such works and i m p r o v e m e n t s erected and c o n s t r u c t e d or caused to bo erected and c o n s t r u c t e d by t h e C o m p a n i e s or one of t h e m u p o n t h e said l a n d s a n d t h e said p o r t i o n w i t h i n t h e t i m e specified in t h e last preceding subclause. ( c ) A certificate by t h e A u d i t o r G e n e r a l of t h e cost of t h e works a n d i m p r o v e m e n t s erected a n d c o n s t r u c t e d or caused to be e r e c t e d a n d c o n s t r u c t e d by t h e C o m p a n i e s or one of t h e m after t h e d a t e of c o m m e n c e m e n t of t h i s A g r e e m e n t and before t h e expiration of t h e said period of six years (or such f u r t h e r period if a n y allowed b y t h e A u d i t o r G e n e r a l i n w r i t i n g ) u p o n t h e said lands a n d t h e said p o r t i o n for t h e purpose of c a r r y i n g on i n d u s t r i a l operations thereon shall be final a n d conclusive a n d b i n d i n g upon t h e p a r t i e s hereto. (d) T h e C o m p a n i e s and each of t h e m shall from t i m e p r o d u c e all books vouchers d o c u m e n t s papers a n d evidence allow t h e works a n d i m p r o v e m e n t s t o be inspected by t h e G e n e r a l ( a n d persons a u t h o r i s e d by h i m ) for t h e purposes clauses ( a ) (c) a n d (e) of t h i s Clause. to t i m e to, and Auditor of sub (e) (e) I f t h r o u g h a n y cause beyond t h e control of t h e C o m p a n i e s a n d n o t a r i s i n g from or d u e to or c o n t r i b u t e d t o by a n y neglect d e f a u l t or m i s c o n d u c t of t h e C o m p a n i e s or either of t h e m or t h e i r or i t s a g e n t s or s e r v a n t s delay occurs i n t h e erection or c o n s t r u c t i o n by t h e C o m p a n i e s or either of t h e m of such works a n d i m p r o v e m e n t s as provided by subclause ( a ) of t h i s clause t h e C o m p a n i e s or e i t h e r of t h e m m a y from t i m e to t i m e w i t h i n six m o n t h s of t h e h a p p e n i n g or o c c u r r i n g of t h e event or m a t t e r c a u s i n g t h e delay apply in w r i t i n g to t h e A u d i t o r G e n e r a l for a n extension of t i m e on a c c o u n t of such event or m a t t e r s e t t i n g f o r t h t h e c a u s e of such application a n d t h e A u d i t o r G e n e r a l shall if he t h i n k s t h e cause sufficient a n d w i t h i n t h e foregoing provisions of t h i s subclause (e) b u t not otherwise allow by w r i t i n g u n d e r h i s h a n d such extension of t i m e as he m a y think adequate. (f) U n l e s s t h e C o m p a n i e s or e i t h e r of t h e m shall m a k e such application w i t h i n t h e t i m e a n d i n t h e m a n n e r aforesaid and unless a n d u n t i l t h e A u d i t o r G e n e r a l shall allow such extension or extensions of t i m e as aforesaid t h e C o m p a n i e s shall n o t by reason of any delay a r i s i n g as in t h e p r e c e d i n g subclause m e n t i o n e d or for any other reason whatsoever be relieved in a n y way or t o any e x t e n t of t h e i r or its liability t o erect a n d c o n s t r u c t such works a n d i m p r o v e m e n t s as provided by subclause ( a ) of t h i s C l a u s e w i t h i n t h e t i m e as t h e r e i n provided or of any other liability or obligation of t h e said Companies a n d each of t h e m u n d e r t h i s A g r e e m e n t . ( g ) T h e t e r m " w o r k s a n d i m p r o v e m e n t s " i n t h i s Clause i n c l u d e s w h a r v e s a n d other s t r u c t u r e s on t h e said p o r t i o n a n d p l a n t and e q u i p m e n t installed t h e r e o n a n d b u i l d i n g s mills furnaces ovens railways levelling of l a n d r e c l a m a t i o n of l a n d bridges r o a d s d r a i n s a n d canals rollingstock a n d t r a n s p o r t e q u i p m e n t and works and erections a n d other a p p u r t e n a n c e s to a n y of t h e foregoing a n d also includes fixed p l a n t a n d m a c h i n e r y of a n y description and all costs and charges associated t h e r e w i t h . 27. U p o n ratification of t h i s A g r e e m e n t and t h e a u t h o r i s a t i o n of t h e c o n s t r u c t i o n of t h e I n n e r H a r b o u r a t P o r t K e m b l a by t h e P a r l i a m e n t of N e w S o u t h "Wales t h e M i n i s t e r will proceed w i t h t h e c o n s t r u c t i o n of t h e I n n e r H a r b o u r and will use h i s best endeavours to m a k e available t h e e n t r a n c e c h a n n e l s w i n g i n g basin a n d t h e first berth of 500 feet in l e n g t h and 60 feet i n w i d t h referred to in Clause 23 ( a ) for use by B . H . P . at t h e date at which t h a t C o m p a n y shall h a v e completed t h e c o n s t r u c t i o n of a blast f u r n a c e a n d a n c i l l a r y p l a n t ( b e i n g p a r t of t h e works a n d i m p r o v e m e n t s referred to i n Clause 26 ( g ) hereof) which d a t e is a n t i c i p a t e d t o be n o t l a t e r t h a n t h e 31st D e c e m b e r 1960 and t h e M i n i s t e r shall m a k e available f r o m t i m e to t i m e i n f o r m a t i o n to enable B . H . H . P . he will be prepared t o n e g o t i a t e w i t h B . H . P . w i t h a view to a r r a n g i n g for t h e completion of t h e said e n t r a n c e c h a n n e l s w i n g i n g basin a n d berth by t h e date desired by B . H . P . 28. ( a ) B . H . P . hereby agrees w i t h t h e M i n i s t e r a n d t h e A c t r a t i f y i n g t h i s A g r e e m e n t shall c o n t a i n provisions t o t h e effect t h a t t h e H a r b o u r and T o n n a g e K a t e s Act, 1920-1953, a n d any A c t a m e n d i n g or r e p l a c i n g t h e s a m e a n d t h e r e g u l a t i o n s from t i m e t o t i m e i n force t h e r e u n d e r b u t insofar only as such A c t s a n d r e g u l a t i o n s relate to t h e i m p o s i t i o n collection and p a y m e n t of t o n n a g e rates and b e r t h i n g charges shall apply to a n d i n respect of every wharf (which t e r m for t h e purposes of t h i s Clause shall i n c l u d e any s t r u c t u r e l a n d i n g place or facility where cargo m a y be loaded or discharged or where vessels m a y be b e r t h e d ) to be hereafter erected c o n s t r u c t e d or provided over a n d along t h e said p o r t i o n or upon lands adjoining or a d j a c e n t t h e r e t o as if t h e same were a public wharf a n d t h a t accordingly t o n n a g e r a t e s a n d b e r t h i n g charges in accordance w i t h t h e said A c t s a n d r e g u l a t i o n s will be payable i n respect of all vessels b e r t h i n g a t a n y such w h a r f subject to t h e following exceptions, such exceptions being applicable only d u r i n g t h e period of n i n e t y n i n e years calculated from t h e d a t e of c o m m e n c e m e n t of t h i s A g r e e m e n t a n d only t o vessels whilst b e r t h e d at any such w h a r f n a m e l y t h a t : -- (i) A n y vessel c a r r y i n g l o a d i n g or d i s c h a r g i n g only cargo t h e p r o p e r t y of t h e C o m p a n i e s or e i t h e r of t h e m a n d / o r of a n y o t h e r c o m p a n y or companies i n which t h e C o m p a n i e s or e i t h e r of t h e m holds a t least one-third of t h e s h a r e c a p i t a l shall be exempt from t h e p a y m e n t of such t o n n a g e rates and berthing charges: ( i i ) A n y vessel c a r r y i n g l o a d i n g or d i s c h a r g i n g cargo p a r t only of which is t h e property of t h e Companies or e i t h e r of t h e m a n d / o r of a n y other c o m p a n y or companies in which t h e C o m p a n i e s or e i t h e r of t h e m holds a t least one-third of t h e s h a r e c a p i t a l shall be g r a n t e d a r e b a t e of such t o n n a g e r a t e s and b e r t h i n g charges t o t h e e x t e n t of t h e r a t i o which t h e p a r t of t h e cargo which is t h e p r o p e r t y of t h e Companies or either of t h e m a n d / o r of a n y o t h e r c o m p a n y or com p a n i e s i n which t h e C o m p a n i e s or either of t h e m holds at least o n e - t h i r d of t h e share c a p i t a l bears t o t h e whole of such c a r g o : ( i i i ) A n y vessel t h e p r o p e r t y of or c h a r t e r e d by t h e C o m p a n i e s or e i t h e r of t h e m or t h e p r o p e r t y of or c h a r t e r e d by any other c o m p a n y i n which t h e Companies or either of t h e m holds a t least one-third of t h e s h a r e capital b e r t h i n g for a purpose other t h a n t h e l o a d i n g or d i s c h a r g i n g of cargo shall be exempt from t h e p a y m e n t of such t o n n a g e r a t e s and b e r t h i n g charges. (b) (b) B . H . P . shall keep or cause to be k e p t i n proper books t r u e a n d complete records of all such m a t t e r s i n relation t o all vessels b e r t h i n g at any wharf to which t h e provisions of subclause ( a ) of this Clause apply as m a y be necessary to enable t h e M a r i t i m e Services B o a r d of N e w S o u t h W a l e s or other proper a u t h o r i t y t o d e t e r m i n e t h e t o n n a g e r a t e s a n d b e r t h i n g charges payable in respect of such vessels in accordance with subclause ( a ) of t h i s Clause a n d t h e A c t r a t i f y i n g t h i s A g r e e m e n t , and B . H . P . shall allow a n d provide every reasonable facility for t h e M a r i t i m e Services B o a r d of N e w S o u t h W a l e s or other proper a u t h o r i t y and a n y person a u t h o r i s e d by such B o a r d or a u t h o r i t y a t all reasonable t i m e s to inspect a n d m a k e copies of or e x t r a c t s from such records A N D B . H . P . shall a t such t i m e s as are required by such B o a r d or a u t h o r i t y d u r i n g t h e period of n i n e t y n i n e years referred t o in Clause 22 hereof f u r n i s h to such B o a r d or o t h e r a u t h o r i t y all such p a r t i c u l a r s as such B o a r d or a u t h o r i t y m a y deem necessary for t h e p u r p o s e of enabling such B o a r d or a u t h o r i t y to a s c e r t a i n a n d d e t e r m i n e t h e t o n n a g e r a t e s a n d b e r t h i n g charges payable i n respect of all vessels b e r t h i n g a t a n y w h a r f t o which t h e provisions of subclause ( a ) of t h i s C l a u s e apply. 29. T h e C o m p a n i e s for themselves a n d each of t h e m a n d each of t h e i r successors a n d assigns hereby c o v e n a n t w i t h t h e M i n i s t e r t h a t t h e Companies a n d each of t h e m a n d each of t h e i r successors a n d assigns will not a t a n y t i m e w i t h o u t t h e w r i t t e n consent of t h e M i n i s t e r t r a n s p o r t c a r r y or p e r m i t to be t r a n s p o r t e d or carried or to pass over t h e said p o r t i o n any coal or coke other t h a n as h e r e i n a f t e r provided, or use or p e r m i t or suffer to be used t h e wharves facilities a n d other s t r u c t u r e s to be erected along and over t h e said portion or any of t h e m for or i n a n y m a n n e r in c o n n e c t i o n w i t h t h e s h i p m e n t of any coal or coke, other t h a n -- (i) coal or coke shipped at t h e wharves ties for s h i p m e n t a t P o r t K e m b l a C o m m i s s i o n e r for R a i l w a y s of t h e t i m e Services B o a r d of N e w S o u t h cranes a n d other facili of t h e M i n i s t e r or t h e said S t a t e or t h e M a r i Wales; and ( i i ) coal or coke shipped in a ship t h e p r o p e r t y of or c h a r t e r e d by t h e C o m p a n i e s or either of t h e m or t h e p r o p e r t y of or chartered by any other c o m p a n y in which t h e C o m p a n i e s or e i t h e r of t h e m hold a t least o n e - t h i r d of t h e s h a r e c a p i t a l , for t h e purpose of b u n k e r i n g t h a t s h i p ; a n d ( i i i ) coal or coke m i n e d or produced by t h e C o m p a n i e s or e i t h e r of t h e m or a n y C o m p a n y in which t h e C o m p a n i e s or e i t h e r of t h e m holds a t least one-third of t h e s h a r e c a p i t a l P R O V I D E D t h a t such coal a n d coke is shipped for t h e sole purpose of b e i n g used a n d consumed by t h e C o m p a n i e s or either of t h e m or a n y c o m p a n y in which t h e C o m p a n i e s o r either of t h e m holds at least one-third of t h e share c a p i t a l . PROVIDED P R O V I D E D A L W A Y S t h a t any consent g i v e n by t h e M i n i s t e r u n d e r t h i s clause shall n o t operate to extend t h e exemptions referred to i n C l a u s e 28 hereof a n d coal a n d coke shipped p u r s u a n t t o a n y such consent shall n o t be " c a r g o " w i t h i n t h e exemptions referred t o i n t h e said Clause 28. 30. N o t h i n g in t h i s A g r e e m e n t c o n t a i n e d shall affect i n any way t h e liability of t h e C o m p a n i e s or either of t h e m or any person or c o r p o r a t i o n to pay h a r b o u r r a t e s i n accordance w i t h t h e provisions of t h e H a r b o u r a n d T o n n a g e R a t e s A c t 1920-1953 a n d a n y A c t a m e n d i n g or r e p l a c i n g t h e same a n d t h e r e g u l a t i o n s from t i m e t o t i m e in force t h e r e u n d e r . 31. T h e M i n i s t e r agrees t h a t h e will a t t h e request of t h e C o m p a n i e s or one of t h e m g r a n t to t h e Companies or one of t h e m t h e r i g h t to c o n s t r u c t across such p a r t of t h e l a n d described i n t h e F i r s t P a r t of t h e F o u r t h Schedule h e r e t o as m a y be agreed upon a n a d d i t i o n a l salt w a t e r channel for t h e purpose of o b t a i n i n g salt w a t e r from t h e p r e s e n t P o r t K e m b l a H a r b o u r a n d to c o n s t r u c t an a d d i t i o n a l salt w a t e r c h a n n e l for t h e purpose of o b t a i n i n g salt w a t e r from either t h e p r e s e n t P o r t K e m b l a H a r b o u r or t h e I n n e r H a r b o u r in such position as t h e M i n i s t e r a n d t h e C o m p a n i e s or e i t h e r of t h e m m a y agree upon, and in each case a c c o r d i n g t o s u c h p l a n s as t h e M i n i s t e r m a y approve a n d u p o n such c o n d i t i o n s as the Minister may require. 32. ( a ) N e i t h e r B . H . P . n o r A . I . S . shall assign t r a n s f e r or p a r t w i t h t h e benefit of this A g r e e m e n t or any r i g h t or privilege there u n d e r w i t h o u t t h e previous consent in w r i t i n g of t h e M i n i s t e r first h a d a n d obtained which consent m a y be given u p o n condition t h a t t h e assignee shall execute a deed whereby he or it covenants w i t h t h e M i n i s t e r to observe a n d perform t h e provisions of t h i s A g r e e m e n t on t h e p a r t of t h e Companies or either of t h e m (as t h e case m a y be) to be observed and performed in t h e same m a n n e r i n all respects as if t h e n a m e of such assignee h a d been inserted in t h i s A g r e e m e n t in place of t h e n a m e of t h e C o m p a n y so a s s i g n i n g . (b) A n y consent by t h e M i n i s t e r to an a s s i g n m e n t u n d e r t h i s Clause shall n o t discharge t h e a s s i g n i n g C o m p a n y from a n y liability u n d e r t h i s A g r e e m e n t a n d shall extend only to t h e p e r m i s s i o n actually given a n d shall n o t p r e j u d i c e or affect any of t h e M i n i s t e r ' s r i g h t s or remedies in respect of any breach of t h e provisions of t h i s Agree ment. (c) N o a s s i g n m e n t u n d e r t h i s C l a u s e shall h a v e t h e effect of i n c r e a s i n g i n any way t h e a c t u a l or c o n t i n g e n t liability of t h e M i n i s t e r or H e r Majesty u n d e r t h i s A g r e e m e n t , w h e t h e r by way of d a m a g e s or otherwise, to t h e i n t e n t t h a t t h e M i n i s t e r or H e r Majesty shall n o t be liable in a n y case or to a n y e x t e n t i n or t o which t h e M i n i s t e r or H e r Majesty would n o t have been liable h a d t h e a s s i g n m e n t not been m a d e . 33. 33. U n t i l such t i m e as t h e M i n i s t e r shall have provided access from F l i n d e r s S t r e e t to t h e N o r t h e r n B r e a k w a t e r of P o r t K e m b l a H a r b o u r a n d t o t h e s o u t h e r n b o u n d a r y of t h e I n n e r H a r b o u r east of M a i n R o a d 295 ( t h e N o r t h e r n B r e a k w a t e r a n d t h e said p o r t i o n of t h e s o u t h e r n b o u n d a r y of t h e I n n e r H a r b o u r h e r e a f t e r i n t h i s Clause b e i n g referred t o as " t h e said a r e a " ) along and over t h e l a n d described i n t h e F i r s t P a r t of t h e F o u r t h Schedule to t h i s A g r e e m e n t t h e C o m p a n i e s agree t h a t t h e y shall p e r m i t t h e M i n i s t e r h i s servants a n d a g e n t s t h e M e m b e r s of t h e M a r i t i m e Services B o a r d t h e i r s e r v a n t s a n d a g e n t s a n d all other persons w h o w i t h lawful purpose a r e seeking access to t h e said a r e a to h a v e a r i g h t of access with or w i t h o u t vehicles p l a n t m a t e r i a l s a n d e q u i p m e n t along a n d over t h a t r o u t e p a s s i n g over lands owned by or to be conveyed p u r s u a n t to t h i s A g r e e m e n t to B . H . P . a n d A . I . S . which is now used for access t o t h e said a r e a or along a n d over such other reasonable r o u t e p a s s i n g over lands of t h e C o m p a n i e s or either of t h e m as m a y be agreed to by t h e Companies and the Minister. 34. T h e C o m p a n i e s for themselves t h e i r successors a n d assigns hereby j o i n t l y a n d severally covenant w i t h t h e M i n i s t e r t h a t t h e y shall a t all t i m e s p e r m i t t h e M i n i s t e r t h e M e m b e r s of t h e M a r i t i m e Services B o a r d t h e C o m m i s s i o n e r for R a i l w a y s of t h e S t a t e of N e w S o u t h "Wales t h e i r respective successors a n d t h e i r respective s e r v a n t s a n d agents t o h a v e access w i t h or w i t h o u t vehicles p l a n t m a t e r i a l s a n d e q u i p m e n t by a n y reasonable r o u t e over l a n d s of t h e C o m p a n i e s or e i t h e r of t h e m for purposes r e l a t i n g to t h e c o n s t r u c t i o n operation a n d m a i n t e n a n c e of t h e I n n e r H a r b o u r or a n y extension thereof t h a t m a y be a u t h o r i s e d from t i m e to t i m e . 35. T h e C o m p a n i e s hereby j o i n t l y a n d severally c o v e n a n t w i t h t h e M i n i s t e r t h a t they will from t i m e to t i m e a n d a t all t i m e s hereafter i n d e m n i f y a n d keep indemnified H e r Majesty H e r H e i r s a n d Successors a n d t h e M i n i s t e r a n d his successors a n d assigns a n d t h e G o v e r n m e n t of t h e said S t a t e of N e w S o u t h W a l e s from a n d a g a i n s t all a c t i o n s claims a n d d e m a n d s which m a y a t a n y t i m e be b r o u g h t or m a d e a g a i n s t H e r Majesty H e r H e i r s a n d Successors or t h e M i n i s t e r h i s successors or assigns or t h e G o v e r n m e n t of t h e S t a t e of N e w S o u t h W a l e s by or for a n y person body firm or c o r p o r a t i o n whomsoever or whatsoever in respect of any loss of life or of a n y i n j u r y to person or p r o p e r t y of or a n y loss or d a m a g e occasioned by or a r i s i n g o u t of or by reason or as a r e s u l t of any act or t h i n g done or o m i t t e d to be done by a n y one or m o r e of t h e m t h e C o m p a n i e s or e i t h e r of t h e m t h e i r or e i t h e r of t h e i r successors or assigns or t h e i r employees a g e n t s w o r k m e n s e r v a n t s or licensees i n or i n con n e c t i o n w i t h or w i t h respect to t h e exercise a n d e n j o y m e n t of a n y of t h e r i g h t s or privileges by t h i s A g r e e m e n t to be conferred on or g r a n t e d to t h e C o m p a n i e s or in c o n n e c t i o n w i t h or w i t h respect to t h e p e r f o r m a n c e by e i t h e r or both of t h e C o m p a n i e s of a n y of t h e obligations or d u t i e s by t h i s A g r e e m e n t imposed u p o n t h e C o m p a n i e s or either of t h e m . 36. 33. All m o n e y s payable to t h e M i n i s t e r u n d e r t h i s A g r e e m e n t shall be p a i d t o t h e M i n i s t e r in cash in S y d n e y free of exchange. 37. S u c h of t h e provisions and conditions of t h i s A g r e e m e n t as r e q u i r e or prescribe any act or t h i n g to be done or n o t t o be done by t h e C o m p a n i e s or e i t h e r of t h e m shall i n a d d i t i o n to b e i n g r e a d a n d c o n s t r u e d as c o n d i t i o n s of t h i s A g r e e m e n t be also r e a d a n d c o n s t r u e d as a g r e e m e n t s whereby t h e Companies or one of t h e m (as t h e case m a y be) respectively covenant w i t h t h e M i n i s t e r to observe a n d p e r f o r m t h e said provisions a n d conditions. 38. I f t h e C o m p a n i e s or e i t h e r of t h e m shall o m i t t o fulfil observe or perform t h e provisions of t h i s A g r e e m e n t or a n y of t h e m on t h e p a r t of t h e C o m p a n i e s or e i t h e r of t h e m to be fulfilled observed or performed t h e M i n i s t e r m a y by n o t i c e i n w r i t i n g served on t h e C o m p a n y i n d e f a u l t call u p o n such C o m p a n y to rectify t h e default complained of w i t h i n a reasonable t i m e (to be stated in t h e n o t i c e ) after t h e service of such n o t i c e a n d if both t h e C o m p a n i e s shall fail after service of t h e said n o t i c e u p o n t h e C o m p a n y i n default to rectify t h e said default w i t h i n such reasonable t i m e t h e M i n i s t e r m a y w i t h o u t p r e j u d i c e t o a n y other remedy u n d e r t h i s A g r e e m e n t by reason of such default do all such acts a n d t h i n g s as t h e M i n i s t e r m a y t h i n k necessary or desirable to r e m e d y t h e d e f a u l t a n d t h e C o m p a n y i n default shall on d e m a n d p a y t o t h e M i n i s t e r all costs a n d expenses i n c u r r e d by t h e M i n i s t e r i n so d o i n g a n d t h e s a m e shall be recoverable by h i m from such C o m p a n y i n a C o u r t of c o m p e t e n t j u r i s d i c t i o n a n d a Certificate of t h e D i r e c t o r of t h e a m o u n t of such costs a n d expenses i n c u r r e d by t h e M i n i s t e r shall be p r i m a facie evidence thereof a n d t h e M i n i s t e r shall n o t i n c u r a n y liability towards t h e C o m p a n i e s or e i t h e r of t h e m b y reason of any d a m a g e whatsoever done t o or upon t h e lands t h e subject of t h i s A g r e e m e n t or to or u p o n a n y a d j o i n i n g or a d j a c e n t l a n d s of t h e C o m p a n i e s or either of t h e m in t h e p e r f o r m a n c e by t h e M i n i s t e r , h i s employees, a g e n t s , w o r k m e n , servants or licensees of a n y act or t h i n g p e r m i t t e d to be done by t h e M i n i s t e r u n d e r t h e provisions of t h i s Clause. 39. I n t h e event of t h e M i n i s t e r a c q u i r i n g any of t h e l a n d s des cribed i n t h e Second a n d F o u r t h Schedules h e r e t o by way of r e s u m p t i o n such acquisition shall be deemed to h a v e been m a d e i n p u r s u a n c e of t h e exchanges contemplated by t h i s A g r e e m e n t a n d t h e C o m p a n y from which such l a n d is r e s u m e d shall n o t be entitled to receive c o m p e n s a t i o n i n respect of such r e s u m p t i o n other t h a n t h e conveyance to it of t h e l a n d s described i n t h e F i r s t or T h i r d Schedule hereto (as t h e case m a y b e ) ; a n d t h e d a t e of t h e p u b l i c a t i o n of t h e notifica t i o n of r e s u m p t i o n shall be accepted as t h e d a t e of completion for t h e purposes of Clause 12 of t h e l a n d s referred to i n t h a t notification of r e s u m p t i o n . 40. 40. ( a ) A n y n o t i c e or c o m m u n i c a t i o n r e q u i r e d to be or t h a t m a y be given to t h e C o m p a n i e s or e i t h e r of t h e m u n d e r or i n connection w i t h t h i s A g r e e m e n t by or on behalf of t h e M i n i s t e r or H e r Majesty H e r H e i r s or Successors shall be deemed to h a v e been d u l y given if signed by t h e D i r e c t o r . ( b ) A n y n o t i c e or c o m m u n i c a t i o n r e q u i r e d to be or t h a t m a y be given to B . H . P . or to A . I . EIGHTH LEASE SCHEDULE. CONDITIONS (1) T h e C o m p a n y shall a t all t i m e s d u r i n g t h e t e r m of t h e lease at i t s own cost a n d expense a n d to t h e satisfaction of t h e M i n i s t e r m a i n t a i n r e p a i r a n d renew so as to keep i n good order a n d con d i t i o n all w h a r v e s facilities a n d other s t r u c t u r e s now or h e r e a f t e r c o n s t r u c t e d erected or provided upon t h e l a n d leased, unless t h e M i n i s t e r shall agree i n w r i t i n g t o t h e demolition a n d removal of any such wharf facility or o t h e r s t r u c t u r e , i n which case t h e C o m p a n y shall a t its own cost a n d expense demolish a n d remove such such w h a r f facility or o t h e r s t r u c t u r e a n d such work shall he c a r r i e d o u t to t h e satisfaction of t h e M i n i s t e r a n d w i t h i n such period as the Minister may require. (2) U p o n t h e e x p i r a t i o n of t h e lease or u p o n t h e sooner d e t e r m i n a t i o n thereof for a n y reason whatsoever t h e C o m p a n y shall if as a n d when requested i n w r i t i n g by t h e M i n i s t e r c a r r y o u t a t i t s own cost a n d expense t h e work of t h e demolition a n d removal of such wharves facilities a n d other s t r u c t u r e s upon t h e l a n d hereby leased as t h e M i n i s t e r m a y r e q u i r e a n d such work shall be carried out t o t h e satisfaction of t h e M i n i s t e r a n d w i t h i n such period as t h e M i n i s t e r may require. (3) T h e lease shall n o t confer any r i g h t to p u r c h a s e t h e land. (4) T h e l a n d leased shall be used only for t h e purposes for which i t is g r a n t e d . (5) T h e C o m p a n y shall p a y all r a t e s t a x e s charges assessments a n d o u t g o i n g s u p o n or i n respect of t h e l a n d leased or t h e C o m p a n y ' s operations t h e r e o n d u r i n g t h e c u r r e n c y of t h e lease. (6) T h e C o m p a n y shall n o t assign sublet or p a r t w i t h t h e posses sion of t h e l a n d leased or a n y p a r t thereof w i t h o u t t h e consent in w r i t i n g of t h e M i n i s t e r . (7) T h e C o m p a n y shall a t all t i m e s a t i t s own cost a n d expense a n d to t h e satisfaction of t h e M i n i s t e r keep all wharves facilities a n d o t h e r s t r u c t u r e s now or hereafter c o n s t r u c t e d erected or provided u p o n t h e l a n d leased in good s a n i t a r y condition a n d free from r a t s a n d m i c e a n d t h e r i g h t is reserved to t e r m i n a t e t h e lease should t h e M i n i s t e r be of t h e opinion t h a t t h e public h e a l t h is e n d a n g e r e d thereby or a n y n u i s a n c e is c o m m i t t e d . (8) T h e r i g h t of ingress egress a n d regress in over a n d o u t of t h e l a n d leased and a n y wharves facilities or other s t r u c t u r e s con s t r u c t e d erected or provided t h e r e o n is reserved to t h e M i n i s t e r or any person or persons a u t h o r i s e d by h i m in t h a t behalf b u t n o t so as t o i n t e r f e r e u n r e a s o n a b l y w i t h t h e operations of t h e C o m p a n y . (9) A n y necessary public service m a y be c o n s t r u c t e d or laid o n t h e l a n d leased w i t h o u t c h a r g e a n d e i t h e r above or below t h e surface after g i v i n g to t h e C o m p a n y one m o n t h ' s n o t i c e i n w r i t i n g of t h e i n t e n t i o n to c o n s t r u c t or lay a n y such public service b u t n o t so as t o i n t e r f e r e u n r e a s o n a b l y w i t h t h e operations of t h e C o m p a n y . (10) T h e C o m p a n y shall n o t a t any t i m e w i t h o u t t h e w r i t t e n consent of t h e M i n i s t e r u s e or p e r m i t or suffer t o be used t h e l a n d leased or a n y p a r t thereof or a n y w h a r f facility or o t h e r s t r u c t u r e now now or hereafter c o n s t r u c t e d erected or provided t h e r e o n for or i n a n y m a n n e r i n connection w i t h t h e s h i p m e n t of any coal or coke, other than ( i ) coal or coke shipped a t t h e wharves c r a n e s a n d other facilities for s h i p m e n t a t P o r t K e m b l a of t h e M i n i s t e r or t h e C o m m i s s i o n e r for R a i l w a y s of t h e said S t a t e of N e w S o u t h W a l e s or t h e M a r i t i m e Services B o a r d of N e w S o u t h Wales; and (ii) coal or coke shipped i n a by t h e C o m p a n y or t h e other C o m p a n y i n which t h i r d of t h e s h a r e capital, ship; and ship t h e p r o p e r t y of or c h a r t e r e d p r o p e r t y of or c h a r t e r e d by any t h e C o m p a n y holds a t least onefor t h e purpose of b u n k e r i n g t h a t ( i i i ) coal or coke m i n e d or produced by t h e C o m p a n y or any c o m p a n y i n which t h e C o m p a n y holds a t least one-third of t h e share capital provided t h a t such coal a n d coke is shipped for t h e sole purpose of b e i n g used a n d consumed by t h e C o m p a n y or any c o m p a n y i n which t h e C o m p a n y holds a t least o n e - t h i r d of t h e s h a r e capital. (11) I n t h e event of t h e C o m p a n y f a i l i n g t o c a r r y out a n d complete a n y of t h e work provided by conditions (1) (2) a n d (7) of t h e lease to be c a r r i e d o u t by t h e C o m p a n y t h e M i n i s t e r m a y w i t h o u t p r e j u d i c e to a n y o t h e r r e m e d y of t h e M i n i s t e r by reason of such default of t h e C o m p a n y , d o all such acts a n d t h i n g s as t h e M i n i s t e r m a y t h i n k necessary to r e m e d y t h e default of t h e C o m p a n y a n d t h e C o m p a n y shall on d e m a n d pay to t h e M i n i s t e r all costs a n d expenses i n c u r r e d by t h e M i n i s t e r i n so d o i n g and t h e same shall be recoverable by h i m from t h e C o m p a n y in a C o u r t of c o m p e t e n t j u r i s d i c t i o n a n d a Certificate of t h e D i r e c t o r of t h e a m o u n t of such costs a n d expenses i n c u r r e d by t h e M i n i s t e r shall be p r i m a facie evidence thereof and n e i t h e r H e r Majesty n o r t h e M i n i s t e r shall i n c u r a n y liability t o w a r d s t h e C o m p a n y by reason of any d a m a g e whatsoever done to or u p o n t h e l a n d leased or a n y w h a r f facility or s t r u c t u r e t h e r e o n or t o or u p o n any a d j o i n i n g or adjacent l a n d s above m e a n high water m a r k i n t h e p e r f o r m a n c e by t h e M i n i s t e r , h i s employees, a g e n t s , workmen, servants or licensees of a n y act or t h i n g p e r m i t t e d to be done by t h e M i n i s t e r u n d e r t h e provisions of t h i s condition. (12) T h e work provided by conditions (1) (2) and (7) of t h e lease to be carried out by t h e C o m p a n y shall be c a r r i e d out a t and w i t h i n such t i m e or t i m e s a n d a t such r a t e as t h e M i n i s t e r shall determine. (13) A breach of any of t h e conditions of t h e lease shall render t h e lease liable to forfeiture. S u c h forfeiture m a y be effected by p u b l i c a t i o n in t h e Gazette of a notice signed by t h e M i n i s t e r declaring t h e lease t o be forfeited P R O V I D E D H O W E V E R t h a t no such notice notice shall be published in the Gazette unless the Minister has first served upon the Company a notice in or to the effect of the form set out in the Sixth Schedule to the Conveyancing Act, 19191954, specifying the particular breach complained of and if the breach is capable of remedy requiring the Company to remedy it and in case the Minister claims compensation in money requiring the Company to pay such compensation and the Company has failed within a reasonable time to remedy the breach if remediable or to pay reasonable compensation to the satisfaction of the Minister where compensation in money is required.
