1993 A BILL FOR An Act to amend the South Bank Corporation Act 1989
6 South Bank Corporation Amendment The Parliament of Queensland enacts-- 1 title 2 Short This Act may be cited as the South Bank Corporation Amendment 3 Clause1. Act 1993. 4 5 Commencement Clause2. This Act commences on a day to be fixed by proclamation. 6 Act 7 Amended The South Bank Corporation Act 1989 is amended as set out in 8 Clause3. this Act. 9 of s.3 (Repeals and Savings) 10 Omission Section 3-- 11 Clause4. omit. 12 of s.4 (Interpretation) 13 Amendment Section 4 (definitions "member", "Minister", and "Registrar 14 Clause5.(1) of Dealings")-- 15 omit. 16 (2) Section 4-- 17 insert-- 18 ` "chairperson" means the chairperson of the Corporation; 19 "member" means a member of the Corporation;'. 20
7 South Bank Corporation Amendment of s.6 (Corporation within shield of Crown) 1 Replacement Section 6-- 2 Clause6. omit, insert-- 3 represents the State 4 `Corporation `6.(1) The Corporation represents the State. 5 `(2) Without limiting subsection (1), the Corporation-- 6 (a) has all the privileges and immunities of the State; and 7 (b) is an exempt public authority under the Corporations Law.'. 8 of s.7 (Constitution of Corporation) 9 Replacement Section 7-- 10 Clause7. omit, insert-- 11 of Corporation 12 `Composition `7.(1) The Corporation consists of the following members-- 13 (a) a chairperson; 14 (b) 2 members appointed on the nomination of the Council; 15 (c) not more than 5 other members. 16 `(2) The members are to be appointed by the Governor in Council. 17 `(3) The chairperson must not be an officer of the public service. 18 `(4) Schedule 1 contains additional provisions about the members and 19 procedures of the Corporation.'. 20 of s.8 (Deputies of members) 21 Replacement Section 8-- 22 Clause8. omit, insert-- 23 of members 24 `Deputies `8.(1) The Governor in Council may appoint a person who is not a 25 member to be the deputy of a member. 26
8 South Bank Corporation Amendment `(2) The deputy of a member appointed on the nomination of the Council 1 must be appointed only on the nomination of the Council. 2 `(3) If a member is absent from a meeting of the Corporation, the deputy 3 of the member may attend and act as the member.'. 4 of s.9 (Corporation Manager) 5 Amendment Section 9(2)-- 6 Clause9. omit `, on the recommendation of the Minister,'. 7 of s.14 (Notification of vesting of land) 8 Amendment Section 14-- 9 Clause10. omit `, Registrar of Dealings'. 10 of new Part 3A 11 Insertion After Part 3-- 12 Clause11. insert-- 13 PART 3A--BRISBANE CONVENTION AND 14 ` EXHIBITION CENTRE 15 for Brisbane Convention and Exhibition Centre 16 `Land `15A.(1) The road licence Vol 7724 Folio 37 shown on Plan RA 4217 is 17 surrendered to the extent that it relates to Russell Street, South Brisbane. 18 `(2) The part of Russell Street, South Brisbane defined by station 19 numbers 7, 8, 21 and 22 on plan 861515 set out in Schedule 10 is 20 permanently closed. 21 `(3) Lots 1 and 4 on plan 861515 set out in Schedule 10 are taken to be 22 surrendered to and are vested in the State. 23 `(4) A deed of grant in fee simple in the name of the Corporation may be 24 issued by the Governor in Council for lot 101 on Crown plan 861528 set 25 out in Schedule 11. 26
9 South Bank Corporation Amendment `(5) Deeds of grant in fee simple may be issued by the Governor in 1 Council for lots 102, 103 and 104 on plan 011605/25 set out in Schedule 12 2 as follows-- 3 (a) for lots 102 and 104--in the name of the Corporation; 4 (b) for lot 103--in the name of Queensland Railways. 5 `(6) Lot 2 on plan 011605/23 set out in Schedule 13 is vested in fee 6 simple in the Corporation. 7 lots become stratum lots 8 `Certain `15B. On registration by the Registrar of Titles of stratum plans for the 9 lots, the following lots become stratum lots created by a stratum plan-- 10 (a) lots 102, 103 and 104 on plan 011605/25 set out in Schedule 12; 11 (b) lots 1 and 2 on plan 011605/23 set out in Schedule 13. 12 may register instruments etc. 13 `Registrar `15C.(1) The Registrar of Titles may register all plans and other 14 instruments and issue certificates of title to give effect to sections 15A and 15 15B. 16 `(2) The Registrar of Titles may do anything to give effect to 17 sections 15A and 15B. 18 of assets and liabilities to Corporation 19 `Transfer `15D. On the commencement of this section-- 20 (a) the assets held by the State and specified in the Brisbane 21 Convention and Exhibition Centre Register held at the Executive 22 Building, 100 George Street, Brisbane, stop being the assets of 23 the State and become the assets of the Corporation; and 24 (b) any liabilities relating to the assets stop being the liabilities of the 25 State and become the liabilities of the Corporation; and 26 (c) the Corporation is substituted for the State in all documents 27 relating to the assets; and 28
10 South Bank Corporation Amendment (d) the Corporation is substituted as a party for the State in all 1 existing or pending proceedings relating to the assets. 2 of management agreement 3 `Assignment `15E.(1) On the commencement of this section the Corporation is 4 substituted for the State, under the management agreement for the Brisbane 5 Convention and Exhibition Centre dated 15 February 1993 entered into with 6 Convex (Qld) Pty Limited ACN 058298374, as if the Corporation had 7 originally been a party to the agreement instead of the State. 8 `(2) Without limiting subsection (1), the Corporation acquires all the 9 rights and assumes all the liabilities of the State that arose under the 10 agreement before the commencement of this section. 11 `(3) The agreement is not otherwise affected. 12 of design and construction management agreement 13 `Assignment `15F.(1) On a date prescribed by regulation, the Corporation is 14 substituted for the State, under the design and construction management 15 agreement for the Brisbane Convention and Exhibition Centre to be entered 16 into with Leighton Contractors Pty Limited ACN 000893667, as if the 17 Corporation had originally been a party to the agreement instead of the 18 State. 19 `(2) Without limiting subsection (1), the Corporation acquires all the 20 rights and assumes all the liabilities of the State that arose under the 21 agreement before the date prescribed by regulation. 22 `(3) The agreement is not otherwise affected. 23 may occupy site 24 `State `15G. The State is authorised to enter and occupy land owned by the 25 Corporation, until the date prescribed by regulation under section 15F(1), to 26 the extent necessary to enable the State to comply with the design and 27 construction management agreement. 28
11 South Bank Corporation Amendment from fees, charges and stamp duty 1 `Exemption `15H. No fee or charge, nor any duty under the Stamp Act 1894, is 2 payable for-- 3 (a) the issue of deeds of grant under section 15A, the issue of 4 certificates of title for stratum lots under section 15C or the 5 stamping or registration of the plans and other instruments 6 necessary to give effect to the sections; or 7 (b) the transfer of the assets and liabilities mentioned in section 15D; 8 or 9 (c) the assignment of the management agreement under section 15E; 10 or 11 (d) the assignment of the design and construction management 12 agreement under section 15F. 13 of this Part 14 `Expiry `15I. This Part expires 3 years after it commences or, if a later date is 15 prescribed by regulation, the later date.'. 16 of s.23 (Powers in relation to land) 17 Amendment Section 23(5)-- 18 Clause12. omit, insert-- 19 `(5) The Minister's approval under subsection (1) is not required for the 20 transfer of-- 21 (a) an interest that does not require registration under the Real 22 Property Acts; or 23 (b) any other interest, or class of interest, that the Minister advises the 24 Corporation, in writing, is an interest for which the Minister's 25 approval is not required.'. 26 of new ss.38B-38H 27 Insertion After section 38A-- 28 Clause13.
12 South Bank Corporation Amendment insert-- 1 plan of the Corporation 2 `Business `38B.(1) The Corporation must prepare a business plan each year. 3 `(2) A business plan must cover 3 financial years or the longer period the 4 Minister requires. 5 `(3) The first business plan must cover 3 financial years starting on 6 1 July 1994. 7 `(4) Except to the extent that the Minister otherwise directs, a business 8 plan must include the matters required by section 38C. 9 to be included in business plan 10 `Matters `38C.(1) The Corporation's business plan must include details of the 11 following matters for the period covered by the business plan-- 12 (a) the Corporation's economic, financial and operational objectives; 13 (b) the nature and scope of activities proposed to be undertaken by 14 the Corporation; 15 (c) the Corporation's development program; 16 (d) the Corporation's cashflow forecasts; 17 (e) the Corporation's capital and operational spending; 18 (f) the Corporation's funding requirements; 19 (g) the Corporation's performance indicators to measure success in 20 meeting objectives; 21 (h) the Corporation's performance targets; 22 (i) the Corporation's proposed budget under section 38H for the next 23 financial year; 24 (j) the Corporation's actual performance achieved for the previous 25 financial year compared with the proposed performance targets 26 for the year; 27 (k) any other matter required by the Minister. 28
13 South Bank Corporation Amendment `(2) Subsection (1) does not limit the matters that may be included in a 1 business plan. 2 business plan 3 `Draft `38D.(1) The Corporation must prepare, and give to the Minister for the 4 Minister's agreement, a draft business plan within the time required by the 5 Minister. 6 `(2) The Corporation and the Minister must try to reach agreement on the 7 draft business plan as soon as possible. 8 procedures about draft business plan 9 `Special `38E.(1) The Minister may return the draft business plan to the 10 Corporation and ask it to-- 11 (a) consider or further consider any matter and deal with the matter in 12 the draft business plan; and 13 (b) revise the draft business plan in the light of its consideration or 14 further consideration. 15 `(2) The Corporation must comply with the request as a matter of 16 urgency. 17 `(3) The Minister may direct the Corporation-- 18 (a) to take specified steps about the preparation or revision of the 19 draft business plan; or 20 (b) to make specified changes to the draft business plan. 21 `(4) The Corporation must immediately comply with a direction under 22 subsection (3). 23 plan on agreement 24 `Business `38F. When a draft business plan of the Corporation is agreed to by the 25 Minister, it becomes the Corporation's business plan for the relevant period. 26
14 South Bank Corporation Amendment Changes to business plan 1 ` `38G.(1) The Corporation's business plan may be changed by the 2 Corporation with the Minister's agreement. 3 `(2) The Minister may direct the Corporation to change the business plan. 4 `(3) Before giving the direction, the Minister must consult with the 5 Corporation and take its views into account. 6 budget 7 `Corporation's `38H.(1) The Corporation must develop and adopt a budget for each 8 financial year. 9 `(2) The budget must be given to the Minister for the Minister's approval 10 within the time the Minister directs. 11 `(3) The Corporation may develop and adopt changes to its approved 12 budget for a financial year. 13 `(4) Each change must be given to the Minister for the Minister's 14 approval. 15 `(5) A budget for a financial year, and any change to the approved budget 16 for the financial year, has effect only if it is approved by the Minister. 17 `(6) The Corporation must comply with its budget. 18 `(7) The Corporation's budget for a financial year must, at all times, be 19 consistent with the funds available to it for the year. 20 `(8) A budget for a financial year must show-- 21 (a) estimates of the Corporation's receipts and payments for the year; 22 and 23 (b) the purposes for which payments are to be made; and 24 (c) the estimates of the Corporation's receipts and payments adopted 25 for the previous year and the actual receipts and payments for that 26 year.'. 27 of new ss.39I-39M 28 Insertion After section 39H-- 29 Clause14.
15 South Bank Corporation Amendment insert-- 1 by Corporation 2 `Delegation `39I. The Corporation may delegate the Corporation's powers under this 3 Act to any person. 4 5 `Committees `39J.(1) The Corporation may establish committees to help or advise it. 6 `(2) The Corporation may decide-- 7 (a) the functions of a committee; and 8 (b) the membership of a committee; and 9 (c) how a committee is to operate. 10 to single deed of grant only 11 `Reference `39K. To show the reservations to the State contained in a deed of grant 12 issued before deed of grant volume 8536 folio 178 issued over the 13 Corporation Area-- 14 (a) a plan lodged after the commencement of this section; and 15 (b) a certificate of title issued from the plan; 16 may refer to deed of grant volume 8536 folio 178 that issued on a surrender 17 under section 9 of the Land Act 1962 and need not refer to previous deeds 18 of grant. 19 of Transport Infrastructure (Railways) Act 1991 to 20 `Application works 21 `39L.(1) Section 6.21 of the Transport Infrastructure (Railways) Act 22 1991 (Construction of works on Queensland Railways' land) applies to the 23 Corporation Area. 24 `(2) However, Queensland Railways may refuse to give its approval for 25 works only if it is satisfied on reasonable grounds that the works to be 26 constructed may adversely affect the safety of the railway or persons 27 working or travelling on it. 28
16 South Bank Corporation Amendment `(3) Queensland Railways must give or refuse to give its approval for 1 works as soon as possible, but within-- 2 (a) 45 days after receiving an application for approval for works in 3 the Corporation Area; or 4 (b) any extended time approved by the Governor in Council before 5 the end of the 45 days. 6 `(4) If Queensland Railways does not approve or refuse to approve the 7 works within 45 days or the extended time approved by the Governor in 8 Council, the works are taken to be approved. 9 power of Minister to give directions in public interest 10 `Reserve `39M.(1) The Minister may give the Corporation a written direction if 11 the Minister is satisfied it is necessary to give the direction in the public 12 interest because of exceptional circumstances. 13 `(2) The Corporation must ensure the direction is complied with. 14 `(3) Before giving the direction, the Minister must-- 15 (a) consult with the Corporation; and 16 (b) ask the Corporation to advise whether, in its opinion, complying 17 with the direction would not be in its commercial interest. 18 `(4) The Minister must cause a copy of the direction to be gazetted within 19 21 days after it is given.'. 20 of s.40 (Regulations) 21 Amendment Section 40(1)-- 22 Clause15.(1) omit, insert-- 23 `(1) The Governor in Council may make regulations for the purposes of 24 this Act.'. 25 `(2) Section 40(2)-- 26 omit from `Without' to `following--', 27 insert `A regulation may be made about any of the following matters--'. 28

A member of the Corporation is to be appointed for a term of not 14 longer than 3 years. 15 from membership of Corporation 16 `Disqualification `2. A person is disqualified from becoming or continuing as a member 17 of the Corporation if the person-- 18 (a) engages in full-time employment with the Corporation without 19 the Governor in Council's approval; or 20 (b) has been convicted of an indictable offence. 21
18 South Bank Corporation Amendment to be member 1 `Ceasing `3.(1) A person ceases to be a member if the person-- 2 (a) resigns by signed resignation notice given to the Minister; or 3 (b) is disqualified under clause 2; or 4 (c) is removed under subclause (2). 5 `(2) The Governor in Council may remove a member from office if the 6 member-- 7 (a) engages in misconduct or neglect of duty; or 8 (b) contravenes this Act without reasonable excuse; or 9 (c) becomes incapable of performing the functions of office because 10 of physical or mental incapacity; or 11 (d) is incompetent; or 12 (e) is an undischarged bankrupt or is taking advantage of the laws 13 relating to bankruptcy; or 14 (f) was appointed on the nomination of the Council and the Council 15 has resolved to withdraw the nomination; or 16 (g) is absent from 3 consecutive meetings of the Corporation without 17 leave of the Corporation or the chairperson and without 18 reasonable excuse. 19 of appointment 20 `Terms `4.(1) A member of the Corporation is entitled to be paid the 21 remuneration and allowances the Governor in Council decides. 22 `(2) A member of the Corporation holds office on the terms of 23 appointment not provided under this Act that the Governor in Council 24 decides. 25
19 South Bank Corporation Amendment PART 2--MEETINGS AND OTHER BUSINESS OF 1 ` CORPORATION 2 of "required minimum number" of members 3 `Meaning `5. In this Part-- 4 "required minimum number" of members means half the number of 5 members of which the Corporation for the time being consists or, if 6 that number is not a whole number, the next higher whole number. 7 of meetings and other business 8 `Conduct `6. The Corporation may conduct its business (including its meetings) in 9 the way it considers appropriate. 10 and places of meetings 11 `Times `7.(1) Meetings of the Corporation are to be held at the times and places 12 it decides. 13 `(2) However, the chairperson-- 14 (a) may at any time call a meeting; and 15 (b) must call a meeting if asked by at least the required minimum 16 number of members. 17 at meetings 18 `Presiding `8.(1) The chairperson must preside at all meetings when the chairperson 19 is present. 20 `(2) If the chairperson is absent, the member chosen by the members 21 present is to preside. 22 and voting at meetings 23 `Quorum `9.(1) At a meeting of the Corporation-- 24 (a) the required minimum number of members form a quorum; and 25

21 South Bank Corporation Amendment seal 1 `Corporation's `13.(1) The Corporation's seal must be kept at the Corporation's office, 2 in the Corporation Manager's custody, and may be used only as authorised 3 by the Corporation. 4 `(2) The impressing of the seal must be witnessed by the chairperson and 5 the Corporation Manager or as the chairperson directs. 6 `(3) Judicial notice must be taken of the imprint of the seal appearing on 7 a document and the document must be presumed to have been properly 8 sealed unless the contrary is proved. 9 of interests by member 10 `Disclosure `14.(1) If a member of the Corporation has a direct or indirect interest in 11 an issue being considered, or about to be considered, by the Corporation, 12 the member must disclose the nature of the interest to a meeting of the 13 Corporation as soon as practicable after the relevant facts come to the 14 member's knowledge. 15 Maximum penalty--100 penalty units. 16 `(2) The disclosure must be recorded in the Corporation's minutes. 17 by interested member 18 `Voting `15.(1) A member of the Corporation who has a material personal 19 interest in an issue being considered by the Corporation must not-- 20 (a) vote on the issue; or 21 (b) vote on a proposed resolution (a "related resolution") under 22 subclause (2) about the issue (whether in relation to the member 23 or another); or 24 (c) be present while the issue, or a related resolution, is being 25 considered by the Corporation; or 26 (d) otherwise take part in any decision of the Corporation about the 27 issue or a related resolution. 28 Maximum penalty--100 penalty units. 29 `(2) Subclause (1) does not apply to the issue if the Corporation has at 30
22 South Bank Corporation Amendment any time passed a resolution that-- 1 (a) specifies the member, the interest and the issue; and 2 (b) states that the members voting for the resolution are satisfied that 3 the interest should not disqualify the member from considering or 4 voting on the issue. 5 `(3) A quorum is present during a consideration of an issue by the 6 Corporation only if at least 1 less than the required minimum numbers of 7 members are present who are entitled to vote on any motion that may be 8 moved about the issue. 9 `(4) The Minister may, by agreeing to a proposed resolution, deal with an 10 issue if the Corporation cannot deal with it because of subclause (3).'. 11 of Schedule 3 (Land to pass to Corporation from 12 Omission Authority) 13 Schedule 3-- 14 Clause18. omit. 15 of Schedules 10-13 16 Insertion Clause19.
