Liability of officers for offence by body corporate 62 page xi Western Australia LEGISLATIVE ASSEMBLY Directors' Liability Reform Bill 2022 A Bill for An Act to amend The Criminal Code and various other Acts in relation to the criminal liability of directors and other persons involved in the management of bodies corporate, and for related purposes. The Parliament of Western Australia enacts as follows: page 1 Directors' Liability Reform Bill 2022 Part 1 Preliminary s. 1 1 Part 1 -- Preliminary 2 1. Short title 3 This is the Directors' Liability Reform Act 2022. 4 2. Commencement 5 This Act comes into operation as follows -- 6 (a) Part 1 -- on the day on which this Act receives the 7 Royal Assent (assent day); 8 (b) Part 3 Division 1 -- 9 (i) if the Aboriginal Cultural Heritage Act 2021 10 sections 263 to 265 come into operation on or 11 before assent day -- on the day after assent day; 12 or 13 (ii) otherwise -- immediately after the Aboriginal 14 Cultural Heritage Act 2021 sections 263 to 265 15 come into operation; 16 (c) Part 3 Division 5 -- 17 (i) if the Aquatic Resources Management Act 2016 18 sections 191 and 192 come into operation on or 19 before assent day -- on the day after assent day; 20 or 21 (ii) otherwise -- immediately after the Aquatic 22 Resources Management Act 2016 sections 191 23 and 192 come into operation; 24 (d) section 27 -- 25 (i) if the TAB (Disposal) Act 2019 section 70 comes 26 into operation on or before assent day -- 27 immediately after section 26 of this Act comes 28 into operation; or 29 (ii) otherwise -- on the day on which the TAB 30 (Disposal) Act 2019 section 70 comes into 31 operation; page 2 Directors' Liability Reform Bill 2022 Preliminary Part 1 s. 3 1 (e) Part 3 Division 9 -- on a day fixed by proclamation; 2 (f) Part 3 Division 11 -- 3 (i) if the Building and Construction Industry 4 (Security of Payment) Act 2021 section 118 5 comes into operation on or before assent day -- 6 on the day after assent day; or 7 (ii) otherwise -- immediately after the Building and 8 Construction Industry (Security of Payment) 9 Act 2021 section 118 comes into operation; 10 (g) section 72 -- 11 (i) if the Firearms Amendment Act 2022 section 29 12 comes into operation on or before assent day -- 13 immediately after section 71 of this Act comes 14 into operation; or 15 (ii) otherwise -- on the day on which the Firearms 16 Amendment Act 2022 section 29 comes into 17 operation; 18 (h) section 79 -- 19 (i) if the TAB (Disposal) Act 2019 section 99 comes 20 into operation on or before assent day -- 21 immediately after section 78 of this Act comes 22 into operation; or 23 (ii) otherwise -- when the TAB (Disposal) Act 2019 24 section 99 comes into operation; 25 (i) the rest of the Act -- on the day after assent day. 26 3. Further provisions relating to commencement 27 (1) In this section -- 28 commencement day means the day after the day on which this 29 Act receives the Royal Assent. 30 (2) Despite section 2(i), if the Aboriginal Cultural Heritage 31 Act 2021 section 310 comes into operation on or before 32 commencement day, Part 3 Division 2 of this Act -- page 3 Directors' Liability Reform Bill 2022 Part 1 Preliminary s. 3 1 (a) does not come into operation; and 2 (b) is deleted. 3 (3) Despite section 2(i), if the Aquatic Resources Management 4 Act 2016 section 267 comes into operation on or before 5 commencement day, Part 3 Division 28 of this Act -- 6 (a) does not come into operation; and 7 (b) is deleted. 8 (4) Despite section 2(i), if the Aquatic Resources Management 9 Act 2016 section 268 comes into operation on or before 10 commencement day, Part 3 Division 45 of this Act -- 11 (a) does not come into operation; and 12 (b) is deleted. page 4 Directors' Liability Reform Bill 2022 The Criminal Code amended Part 2 s. 4 1 Part 2 -- The Criminal Code amended 2 4. Act amended 3 This Part amends The Criminal Code. 4 5. Part I Chapter 6 inserted 5 At the end of Part I insert: 6 7 Chapter 6 -- Criminal liability of officers of 8 bodies corporate 9 37. Overview 10 (1) This Chapter contains a set of standard provisions 11 (sections 39, 40 and 41) that set out certain 12 circumstances in which directors and other officers of a 13 body corporate can incur criminal liability as a result of 14 an offence by the body corporate. 15 (2) Only one of sections 39, 40 and 41 can apply to an 16 offence. 17 38. Term used: officer 18 In this Chapter -- 19 officer, in relation to a body corporate, has the meaning 20 given in the Corporations Act 2001 (Commonwealth) 21 section 9. 22 39. Officer liability for corporate offence: onus on 23 prosecution to prove reasonable steps not taken 24 (1) This section applies to an offence if a provision of this 25 Code, or of another written law, expressly provides that 26 it applies to the offence. page 5 Directors' Liability Reform Bill 2022 Part 2 The Criminal Code amended s. 5 1 (2) If a body corporate is guilty of an offence to which this 2 section applies, an officer of the body corporate is also 3 guilty of the offence if the officer failed to take all 4 reasonable steps to prevent the commission of the 5 offence by the body corporate. 6 (3) In determining whether things done or omitted to be 7 done by the officer constitute reasonable steps, a court 8 must have regard to -- 9 (a) what the officer knew, or ought to have known, 10 about the commission of the offence by the 11 body corporate; and 12 (b) whether the officer was in a position to 13 influence the conduct of the body corporate in 14 relation to the commission of the offence; and 15 (c) any other relevant matter. 16 40. Officer liability for corporate offence: onus on 17 prosecution to prove reasonable steps not taken if 18 evidence suggesting reasonable steps adduced 19 (1) This section applies to an offence if a provision of this 20 Code, or of another written law, expressly provides that 21 it applies to the offence. 22 (2) If a body corporate is guilty of an offence to which this 23 section applies, an officer of the body corporate is also 24 guilty of the offence unless the officer took all 25 reasonable steps to prevent the commission of the 26 offence by the body corporate. 27 (3) The prosecutor has the onus of proving that the officer 28 failed to take all reasonable steps to prevent the 29 commission of the offence by the body corporate if, 30 and only if, evidence that suggests a reasonable 31 possibility that the officer took all reasonable steps is 32 first adduced by or on behalf of the officer. page 6 Directors' Liability Reform Bill 2022 The Criminal Code amended Part 2 s. 5 1 (4) In determining whether things done or omitted to be 2 done by the officer constitute reasonable steps, a court 3 must have regard to -- 4 (a) what the officer knew, or ought to have known, 5 about the commission of the offence by the 6 body corporate; and 7 (b) whether the officer was in a position to 8 influence the conduct of the body corporate in 9 relation to the commission of the offence; and 10 (c) any other relevant matter. 11 41. Officer liability for corporate offence: onus on 12 officer to prove reasonable steps taken 13 (1) This section applies to an offence if a provision of this 14 Code, or of another written law, expressly provides that 15 it applies to the offence. 16 (2) If a body corporate is guilty of an offence to which this 17 section applies, an officer of the body corporate is also 18 guilty of the offence unless the officer took all 19 reasonable steps to prevent the commission of the 20 offence by the body corporate. 21 (3) The officer has the onus of proving that the officer took 22 all reasonable steps to prevent the commission of the 23 offence by the body corporate. 24 (4) In determining whether things done or omitted to be 25 done by the officer constitute reasonable steps, a court 26 must have regard to -- 27 (a) what the officer knew, or ought to have known, 28 about the commission of the offence by the 29 body corporate; and 30 (b) whether the officer was in a position to 31 influence the conduct of the body corporate in 32 relation to the commission of the offence; and page 7 Directors' Liability Reform Bill 2022 Part 2 The Criminal Code amended s. 5 1 (c) any other relevant matter. 2 42. Further provisions relating to criminal liability of 3 officers of bodies corporate 4 (1) This Chapter does not affect the liability of a body 5 corporate for any offence. 6 (2) This Chapter does not affect the liability of an officer, 7 or any other person, under Chapters II, LVII, LVIII 8 and LIX. 9 (3) An officer of a body corporate may be charged with, 10 and convicted of, an offence in accordance with 11 section 39, 40 or 41 whether or not the body corporate 12 is charged with, or convicted of, the offence committed 13 by the body corporate. 14 (4) If an officer of a body corporate who is charged with 15 an offence in accordance with section 39, 40 or 41 16 claims that the body corporate would have a defence if 17 it were charged with the offence -- 18 (a) the onus of proving the defence is on the 19 officer; and 20 (b) the standard of proof required is the standard 21 that would apply to the body corporate in 22 relation to the defence. 23 (5) Subsection (4) does not limit any other defence 24 available to the officer. 25 43. Penalties 26 (1) This section applies to an offence if -- 27 (a) section 39, 40 or 41 applies to the offence; and 28 (b) the specified penalty for the offence applies 29 only to a body corporate. page 8 Directors' Liability Reform Bill 2022 The Criminal Code amended Part 2 s. 6 1 (2) The maximum penalty for the offence if committed by 2 an officer of a body corporate is one-fifth of the 3 maximum penalty that could be imposed on the body 4 corporate. 5 (3) This section does not limit the Sentencing Act 1995. 6 7 6. Section 740D inserted 8 Before section 740 insert: 9 10 740D. Review of amendments made by Directors' Liability 11 Reform Act 2022 12 (1) The Minister must review the operation and 13 effectiveness of the amendments made to this Code by 14 the Directors' Liability Reform Act 2022, and prepare a 15 report based on the review, as soon as practicable after 16 the 5th anniversary of the day on which the Directors' 17 Liability Reform Act 2022 section 5 comes into 18 operation. 19 (2) The Minister must cause the report to be laid before 20 each House of Parliament as soon as practicable after it 21 is prepared, but not later than 12 months after the 22 5th anniversary. 23 page 9 Directors' Liability Reform Bill 2022 Part 3 Amendments to other Acts Division 1 Aboriginal Cultural Heritage Act 2021 amended s. 7 1 Part 3 -- Amendments to other Acts 2 Division 1 -- Aboriginal Cultural Heritage Act 2021 amended 3 7.
